About The Position

A premier global law firm is seeking a Capital Markets Associate Attorney to join its Houston office. This opportunity is ideal for an attorney interested in representing public companies, investment banks, issuers, underwriters, and private equity sponsors in sophisticated capital markets and securities transactions.

Requirements

  • 3–6 years of capital markets, securities, or corporate transactional experience gained at a sophisticated law firm
  • Experience representing public companies, issuers, underwriters, investment banks, private equity sponsors, and institutional investors
  • Excellent academic credentials
  • J.D. from an ABA-accredited law school required
  • Texas bar admission required or ability to become admitted

Nice To Haves

  • Experience handling public and private offerings of equity and debt securities, IPOs, follow-on offerings, Rule 144A offerings, private placements, and other capital markets transactions
  • Experience advising clients regarding SEC reporting, Exchange Act compliance, corporate governance, disclosure obligations, and securities law matters
  • Experience drafting and negotiating registration statements, underwriting agreements, purchase agreements, offering memoranda, proxy statements, and other securities-related documents
  • Experience managing transactions from initial structuring through closing while coordinating multidisciplinary deal teams
  • Strong drafting, negotiation, analytical, organizational, and communication skills
  • Ability to independently manage sophisticated transactions while maintaining significant client interaction

Responsibilities
