Requirements

  • Familiarity with fixed income derivatives products
  • Familiarity with futures clearing, treasury clearing and FCM regulations and documentation.
  • Experience with US CFTC and SEC rules
  • Candidate should be a self-starter, quick learner and must be able to work independently and proactively.
  • Candidate should be someone who can handle multiple complex assignments and navigate a large institution.

Nice To Haves

  • 4 years plus experience at major law firm, bank, or similar institutional experience.
  • Familiarity with some institutional broker-dealer and banking businesses and products.

Responsibilities

  • Drafts, reviews, negotiates, and advises on ISDA Master Agreements, Credit Support documentation, risk participation arrangements, bespoke transaction confirmations and ancillary documentation supporting the Rates and Foreign Exchange businesses
  • Provides legal advice regarding licensing, documentation, and transaction structuring matters supporting the U.S. and Latin America Rates and FX businesses
  • Advises on regulatory requirements applicable to swap dealer, securities-based swap dealer, futures, and clearing activities, including rules administered by the Commodity Futures Trading Commission, National Futures Association, Securities and Exchange Commission, and Financial Industry Regulatory Authority
  • Supports the development and implementation of U.S. Treasury clearing and other fixed income clearing initiatives
  • Works closely with Legal, Compliance, Risk, Credit, and business partners globally to support fixed income derivatives and clearing activities
  • Analyzes legal issues and implications on products, services, and regulatory matters related to the Global Banking and Global Markets businesses
  • Communicates clear, concise, actionable, and business-informed legal advice, including occasionally to leadership
  • Drafts, reviews, and negotiates complex legal documents and legal opinions related to derivatives, clearing, and capital markets activities
  • Directs the work of outside legal counsel and may coordinate the work of other Legal staff such as Paralegals and trains, mentors, or supports the development of peers
