Associate - Technology Transactions
About The Position
As an associate in Norm’s Technology Transactions group, you will work on high-impact intellectual property and technology deals, including standalone technology transactions and the IP and technology aspects of M&A, private equity, and ECVC transactions. You will use AI agents to streamline drafting, diligence, and deal execution, and collaborate with partners, clients, and technology teams to help transform legal work and services for leading institutions. Norm expects team members to be fluent in AI and to use it hands-on in their day-to-day work, with practical examples of tools, workflows, and outcomes to discuss during interviews.
Requirements
- Juris Doctor (JD) or equivalent, and admission in at least one U.S. jurisdiction.
- At least 4 years of law firm experience in Technology Transactions and/or IP Transactions as a primary practice.
- Substantive hands-on experience drafting and negotiating technology and IP agreements, with experience handling this work at volume.
- Experience supporting IP and technology workstreams in M&A and private equity transactions.
- Strong drafting, negotiation, and analytical skills; meticulous attention to detail; and the ability to move matters forward.
- Practical, hands-on AI experience, including active use of AI in day-to-day work and the ability to discuss concrete tools, workflows, and outcomes.
Responsibilities
- Use AI agents to generate, compare, and revise technology and intellectual property transaction documents.
- Use AI tools to review documents, identify key terms, and prepare client-facing diligence memos focused on IP and technology diligence.
- Integrate AI agents into workflow management, signing and closing checklists, and coordination with counterparties.
- Advise clients on how AI-assisted workflows can improve accuracy, transparency, and deal velocity.
- Work with technology teams to make deal processes more efficient using AI.
- Advise clients on matters and workflows and lead AI-augmented workstreams in live transactions.
