About The Position

UnitedHealth Group is a health care and well-being company dedicated to improving health outcomes globally. It comprises UnitedHealthcare and Optum. The Optum Legal, Compliance, and Regulatory Affairs department is seeking an Associate General Counsel (AGC) for its Growth Legal Team to provide contracting and transactional support to the Optum Growth and Customer office. This role will primarily offer legal guidance and contracting services to OptumInsight sales leaders. The AGC will join an innovative and experienced team in a fast-paced, deadline-oriented environment. The candidate must be adept at prioritizing competing demands, communicating effectively with colleagues, clients, and customers, and possess a desire to gain deep knowledge of Optum product offerings. Significant contracting drafting experience is essential, and in-house experience will be highly valued. The AGC will manage contracting matters independently from start to finish, contribute to team process improvements, and guide non-attorneys and attorneys.

Requirements

  • JD and bar admission, in good standing, in at least 1 U.S. state.
  • 7+ years of legal experience, with specific, documented experience in contracting drafting and negotiation.
  • Solid transactional negotiation and drafting skills.
  • Solid business acumen and problem-solving ability.
  • Ability to build and maintain rapport with leaders, team members, employees, and external company contacts, with demonstrated ability to lead and contribute to team effort.

Responsibilities

  • Provide transactional legal support for the OptumInsight Growth team’s sales functions by being a key drafter and negotiator of complex vendor and commercial contracts.
  • Draft, review, revise and negotiate high volumes of complex agreements, from both commercial and vendor perspectives, including: master SaaS agreements, master license and services agreements, master professional services agreements, reseller agreements, evaluation, beta and pilot agreements, product integration, API, and tech partnership agreements and subcontracting agreements; related statements of work, product schedules and addenda.
  • Serve as a leader for the vendor and customer contracting team and support team initiatives.
  • Review contract language to ensure consistency/eliminate conflicts.
  • Draft/update standard language for contract templates.
  • Draft non-standard contract language or custom agreements based on negotiations.
  • Review counterparty (e.g., client, vendor, provider, partner) forms/contract templates to ensure inclusion of necessary terms and conditions for the transaction.
  • Identify issues in contracts/proposals/documents that require escalation and engage senior legal counsel or other stakeholders as appropriate.
  • Communicate risks and explain contract language and terminology (e.g., limits of liability, indemnifications, audits, etc.) appropriately for a given audience.
  • Defend the company's position and rationale on contract terms.
  • Meet with appropriate individuals (e.g., internal/external parties, vendors, outside counsel) to discuss and negotiate non-standard terms.
  • Identify/recommend/engage relevant internal/external stakeholders in the contract process to problem-solve and resolve issues and approve non-standard terms.
  • Engage and collaborate with internal data privacy, risk, procurement, enterprise information security, compliance, and international legal counterparts.
  • Manage multiple contract priorities (e.g., assigned cases/accounts, projects, tasks) and remain focused on key/appropriate priorities in the contracting process.
  • Identify/participate in projects to suggest contract process or customer service improvements.
  • Search and maintain contract records and data.
  • Track and report contract status, exceptions or non-standard approvals.
  • Operate proficiently within a paperless contracting process/environment.
