DRW is currently seeking an Associate General Counsel to join the Legal team in our Chicago office.

Requirements

4+ years of transactional experience at a U.S. law firm
Must be comfortable working on unique transactions on tight timelines
Ability to effectively communicate at all levels of the firm
Willingness to learn and use AI legal tools is required

Nice To Haves

Experience with transactional work relating to trading, finance, technology and/or digital assets is a plus
Experience utilizing AI legal tools is a plus

Responsibilities

Work closely with the DRW Venture Capital team, advising on term sheets, managing negotiation and execution of definitive documents, and providing post-execution support.
Support the development of new incubated companies, from formation to legal support for operations.
Support DRW in structuring and negotiating joint ventures, acquisitions and other strategic initiatives.
Involve close coordination with internal subject matter experts, internal support groups and outside counsel.
Draft, review and negotiate a broad range of contracts, including trading related agreements, software licenses, AI resources, data licenses and other technology agreements, data-privacy related agreements, leases, services agreements, vendor agreements, confidentiality agreements and other commercial contracts.
