About The Position

The Associate General Counsel serves as a commercially oriented subject matter expert and steps in as acting General Counsel as needed. The Associate General Counsel also serves as the General Counsel’s principal backup across corporate matters. As needed, the Associate General Counsel will serve as a partner to the company’s leadership team, may manage and develop attorney and non-attorney direct reports, oversees counsel on complex matters, and acts as a visible role model for company values, ethics, and an inclusive team culture.

Requirements

  • Comprehensive knowledge of contracting laws and regulations, including United States federal and state contractor requirements.
  • Strong drafting and negotiating skills with the ability to assess and articulate risk clearly while demonstrating sound business judgment.

  • Juris Doctor from an accredited law school, Licensed to practice law in at least one state required with eligibility for Massachusetts In-house Counsel registration
  • 10+ years of experience as in-house Counsel preferred, with emphasis on technology and SaaS experience
  • 3+ years of experience managing others

Responsibilities

  • Serve as a legal advisor to the customer and vendor contracts team, deal operations and Sales functions on contractual matters, complex provisions, and escalated legal questions arising from the contracts administration process, including company-specific contractual requirements.
  • Review, draft, and negotiate a broad range of commercial agreements including customer agreements, data processing agreements (DPAs), business associate agreements (BAAs), and vendor contracts.
  • Advise on related privacy and security clauses, warranties and indemnification provisions.
  • Review real estate leases and related ancillary documents.
  • Develop and maintain standard contract templates, data privacy fallback positions, and negotiation playbooks for use by the contracts administration team.
  • Maintain awareness of evolving state student data privacy laws (e.g., SOPIPA, state-level FERPA analogs) and ensure commercial contract templates and positions remain current and compliant.
  • In partnership with the General Counsel, provide support on M&A activity, finance support, equity administration, and corporate governance.
  • Serve as a high-level legal partner to teams across the organization while building trusted relationships grounded in deep knowledge of the company’s operations and industry.
  • As assigned, supervise, direct and develop attorney and non-attorney team members, including driving performance results, reviewing work product, supporting professional development and other supervisory duties.
  • Manage outside counsel relationships for complex matters – reviewing work product, managing budgets, and maintaining accountability for outside counsel performance.
  • Contribute to the development and refinement of contracting workflows and CLM optimization.
  • Independently spot, assess, and troubleshoot questions related to ethical obligations and sensitive legal or compliance matters, escalating appropriately.
