About The Position

Stinson LLP seeks a highly motivated Associate Attorney with 3 – 5 years of experience representing lenders in connection with commercial financing transactions to join our Minneapolis, MN office. Our attorneys represent a nimble and fast-moving lender base, including private equity credit funds and hedge funds, as well as traditional banks. Our attorneys advise clients on complex deals from term sheet through closing. This is an opportunity to join a collegial, entrepreneurial group with direct partner collaboration and a genuine voice in how the practice grows.

Requirements

  • Mid-level associate (3–5 years) with substantive commercial finance experience; peer law firm experience is a plus.
  • Experience representing lenders in secured finance transactions; familiarity with private equity credit or hedge fund lender clients is a plus.
  • Exposure to asset-based, equipment finance, real estate finance, or tax credit financing structures preferred.
  • Prior experience with workouts, restructurizations, or bankruptcy-related matters is a plus, though not required.
  • Strong drafting and negotiation skills, sound business judgment, and the ability to manage transactions independently in a fast-paced, client-driven practice.
  • Excellent writing, oral advocacy skills, and academics are required.
  • Active law license in Minnesota or ability to waive in is required.

  • Peer law firm experience is a plus.
  • Familiarity with private equity credit or hedge fund lender clients is a plus.
  • Exposure to asset-based, equipment finance, real estate finance, or tax credit financing structures preferred.
  • Prior experience with workouts, restructurizations, or bankruptcy-related matters is a plus, though not required.

Responsibilities

  • Represent institutional lenders, principally PE-affiliated credit funds and hedge funds, in a broad range of secured finance transactions, including asset-based lending, equipment finance, real estate finance, and investment tax credit financings.
  • Serve as day-to-day deal counsel, managing transaction workstreams, coordinating diligence, and driving deals to closing with minimal oversight.
  • Draft and negotiate credit agreements, security documents, intercreditor agreements, and related loan documentation.
  • Work primarily on middle-market transactions (with some deals reaching into the hundreds of millions).
  • Collaborate directly with hiring partners and senior attorneys on deal strategy and client relationships.
