We are seeking a Vice President, Associate General Counsel – Corporate to join our global Legal team, where innovation knows no borders. This team protects enterprise value, ensures rigorous regulatory compliance and enables strategic corporate initiatives that accelerate global business growth. It provides high-impact legal strategy and governance frameworks to keep our business moving forward safely and decisively. Reporting to our Chief Legal Officer, you will oversee Sabre’s SEC compliance program, lead its corporate governance efforts, capital markets/financings, partner with executive leadership and the Board of Directors, and provide strategic legal support for our equity programs and corporate transactions. This is a highly visible leadership role ideal for a proactive, tech-savvy attorney with securities law and governance experience.

Requirements

J.D. from an accredited law school and active admission to at least one U.S. state bar.
10+ years of legal experience, with a background combining a major law firm and in-house public company practice (technology or SaaS company preferred).
Deep expertise in corporate governance, U.S. securities laws, and equity compensation structures.
Proven experience working directly with or advising public company boards of directors.
Strong communicator and relationship builder with sound commercial judgment and uncompromised integrity.

Nice To Haves

Experience in the travel or business tech industry is a plus.
Exposure to international corporate structures, global equity plans, and debt/equity capital markets transactions.

Responsibilities

Lead Sabre’s 1933 Act and 1934 Act filings (registration statements and reports), including annual, quarterly and current reports, proxy statements and Section 16 filings.
Partner closely with Accounting, Tax, Investor Relations, and the People team to meet reporting and disclosure requirements.
Provide advice on applicable SEC regulations and Nasdaq stock exchange listing standards.
Support debt and equity offerings, credit facility administration, and capital structure transactions in partnership with Finance and Treasury.
Serve as legal lead for all corporate governance matters, including Board and committee operations, charters, and policies.
Oversee global corporate secretarial functions and manage board and stockholder meeting logistics and documentation.
Lead legal strategy and logistics for annual stockholder meetings and the preparation of proxy materials.
Oversee legal entity management and intercompany governance across global subsidiaries.
Advise on the design, implementation, and regulatory compliance of equity plans and short- and long-term incentive programs.
Partner with the People team on employee grants, executive compensation disclosures, and stock plan administration.
Work closely with Finance, the People team, Investor Relations, and other teams on broader enterprise compliance and disclosure strategies.
Provide legal training and thought leadership on governance and securities law compliance topics.
Manage outside counsel relationships and optimize legal spend.
