About The Position
This remote freelance consulting role is for an experienced attorney contributing legal expertise to advanced AI training and evaluation initiatives. The work focuses on venture capital financing, corporate transactions, investment documentation, corporate governance, and startup legal advisory. The attorney will analyse transactions, review and assess legal documents, develop realistic legal scenarios, conduct research, and evaluate AI-generated legal content. Prior AI experience is not required. Assignments may involve venture capital transaction analysis; drafting and reviewing investment documents; corporate governance and regulatory research; developing questions, scenarios, and case studies; validating AI-generated legal analyses; and preparing written commentary, document annotations, and research summaries. Work is performed remotely using designated project tools and asynchronous communication, in collaboration with project managers and other contributors. Work must not use confidential or proprietary information belonging to an employer, client, institution, or other third party. Requirements
- Extensive professional experience in venture capital financing, corporate transactions, or startup legal advisory; ideally seven or more years.
- Deep understanding of venture capital investment structures, equity financing, corporate governance, and transactional legal processes.
- Demonstrated experience drafting, reviewing, and negotiating term sheets, share purchase agreements, convertible notes, and related corporate documents.
- Strong knowledge of legal considerations affecting startups, founders, venture capital investors, and established corporations.
- Practical experience advising on financing rounds, investment agreements, shareholder arrangements, or strategic corporate transactions.
- Ability to evaluate complex legal documentation and identify nuanced contractual, commercial, and regulatory issues.
- Strong legal research, transactional analysis, negotiation, and problem-solving capabilities.
- Excellent written and verbal communication skills, including explaining sophisticated legal concepts clearly.
- Exceptional attention to detail and ability to provide precise, structured legal feedback.
- Complete work without using confidential or proprietary information belonging to an employer, client, institution, or other third party.
Nice To Haves
- A Juris Doctor (JD) degree and active bar membership in at least one jurisdiction are preferred.
- Familiarity with international corporate law, cross-border investments, and global regulatory frameworks.
- Experience collaborating in remote, multidisciplinary, or technology-focused projects.
Responsibilities
- Review and analyse complex venture capital financings, corporate transactions, and investment structures.
- Assess legal and commercial considerations involving startup financing, equity investments, acquisitions, corporate restructuring, and proposed investment arrangements.
- Review, draft, and evaluate term sheets, share purchase agreements, convertible notes, and related investment documentation.
- Assess contractual provisions, drafting quality, enforceability, transaction structure, and commercial implications.
- Evaluate corporate governance arrangements and issues involving founders, shareholders, boards, and institutional investors.
- Analyse fiduciary duties, shareholder rights, governance processes, corporate decision-making, and applicable regulatory and compliance considerations.
- Develop realistic legal questions, transactional scenarios, and case studies for AI training and evaluation.
- Review and validate AI-generated legal analyses, contractual explanations, and transactional recommendations; identify inaccuracies and gaps in legal reasoning or precision.
- Translate complex venture capital and corporate law concepts into clear, structured materials and provide constructive written feedback.
- Conduct structured legal research and produce legal analyses, document annotations, research summaries, and evaluation feedback.
- Collaborate remotely and asynchronously with project managers and other contributors, supporting consistent quality and accurate legal interpretation.
