About The Position

We are seeking a Transactional Real Estate Attorney with 2 or more years of experience in commercial real estate law. The ideal candidate will be barred in California and possess strong skills in drafting, negotiating, and reviewing various real estate and construction-related documents. This role involves coordinating and managing commercial leasing and acquisition documentation, advising on real estate finance, mechanic's liens, and 1031 exchanges. The attorney will also be responsible for organizing and maintaining client files.

Requirements

2+ years of experience in Commercial Real Estate.
Must be barred in California.
Proficient in advising mechanic’s lien issues.
Proficient in advising 1031 exchanges.

Nice To Haves

Construction knowledge is a plus.

Responsibilities

Draft, negotiate, and review construction and design contracts.
Draft leases, purchase and sale agreements, letters of intent, deeds, and title & escrow related matters.
Coordinate and direct the review, management, and preparation of commercial leasing and acquisition documentation.
Review Purchase and Sale Agreements, due diligence, monitor contingencies, review and prepare title objections, survey and environmental reviews, closing documents, and wire transfers.
Draft, negotiate, and review all aspects of real estate finance.
Advise on mechanic’s lien issues.
Advise on 1031 exchanges.
Negotiate leases and amendments.
Draft and review complex operating agreements and bylaws, shareholders agreements, master service and service level agreements, private placement memorandums, indemnity agreements, and other client contracts.
Draft correspondence on behalf of landlords to commercial tenants, management, and counsel relating to claims, defenses, and other disputes arising under lease agreements.
Effectively organize and maintain case and client files.
