We are seeking a dynamic and experienced M&A Tax Partner to lead and grow our Transaction Advisory Services practice. In this high-visibility role, you will serve as the primary strategic advisor to Private Equity groups, strategic corporate buyers, and investment banks. You will not only oversee the technical delivery of complex buy-side and sell-side tax due diligence and structuring but also act as the "Face of the Practice," driving business development, mentoring a high-performing team, and managing the practice’s P&L.

Requirements

  • Bachelor’s degree in Accounting, Finance, or Economics required.
  • Active CPA license or JD required.
  • 15+ years of progressive tax experience in a public accounting firm or a specialized M&A boutique.
  • Minimum of 10 years specifically dedicated to M&A tax / Transaction Advisory Services.
  • Proven track record of managing a book of business and leading teams.
  • Deep expertise in Subchapter C, Subchapter S, and Partnership taxation.
  • Familiarity with Consolidated Returns and International Tax concepts (GILTI, FDII, Subpart F) as they relate to transactions.
  • Proficiency in analyzing Stock Purchase Agreements (SPA) and Membership Interest Purchase Agreements (MIPA).
  • Eligibility to work in the United States.
  • Candidates must demonstrate eligibility to work in the United States.

Nice To Haves

  • Master's in Taxation (MST) or LLM in Taxation is highly preferred.

Responsibilities

  • Lead Transaction Strategy: Direct the full lifecycle of M&A tax engagements, including buy-side and sell-side tax due diligence, tax structuring, and modeling.
  • Design tax-efficient structures for mergers, acquisitions, carve-outs, and reorganizations (e.g., Section 338(h)(10) elections, F reorganizations, and cross-border planning).
  • Identify and quantify historical tax exposures and draft contract language (reps and warranties) to mitigate risk for clients.
  • Oversee post-close integration, ensuring tax attribute preservation (Section 382 analysis) and earnings and profits (E&P) studies.
  • Actively cultivate relationships with Private Equity firms, legal counsel, investment bankers, and C-level executives to source new engagements.
  • Collaborate with Audit and Valuation partners to present a unified, multi-disciplinary service offering to prospective clients.
  • Represent the firm at industry conferences, publish articles on emerging M&A tax trends, and lead internal and external webinars.
  • Recruit, train, and mentor a team of Managers and Directors, fostering a culture of technical excellence and rapid career progression.
  • Manage the financial performance of the M&A practice, including billing, realization rates, and resource allocation.
  • Maintain the highest standards of risk management and compliance with firm policies and professional standards.
