About The Position

Nebius is seeking an outstanding and diligent Technology Commercial Legal Counsel with an excellent track record, a strong work ethic, and exceptional attention to detail to join their dynamic Legal team. The role involves owning the drafting, reviewing, and negotiating of worldwide agreements that underpin the company's business operations, while ensuring compliance with global privacy and data protection regulations. The position is based in Austin, Texas or New York, with an on-site work requirement.

Requirements

  • Bar admission in the U.S., EU, or Israel.
  • LL.B. or equivalent law degree from a top-tier university.
  • Strong experience drafting and negotiating complex commercial and technology agreements, particularly Fortune 500 customer-facing contracts under pressure.
  • 4-9 years of experience post internship/trainee program, practicing tech commercial and privacy law at both a leading law firm and as in-house counsel at a tech company.
  • Strong experience in drafting and negotiating technology commercial agreements (including DPAs).
  • Experience in SaaS AI companies.
  • Experience with global privacy regulations (such as GDPR, CPRA, and U.S. state privacy laws).
  • Experience with U.S. copyright and intellectual property laws.
  • Attention to details and ability to work accurately under time pressure.

Responsibilities

  • Own the drafting, review, and negotiation of a wide range of customer-facing and commercial agreements, including customer-related transactions, such as SaaS Agreements, Reseller Agreements, and Service Level Agreements.
  • Act as the primary legal partner for Go-to-Market teams, providing practical, business-oriented advice throughout customer negotiations.
  • Support and enhance the company's privacy and data protection program, ensuring compliance with applicable regulations such as GDPR, CCPA, and other global standards.
  • Review and negotiate DPAs and provide ongoing legal guidance on privacy matters.
  • Handle procurement-related transactions with various vendors and partnership agreements.
  • Drive complex, cross-border, and strategically important transactions involving multiple internal and external stakeholders.
  • Advise internal stakeholders on local legal and regulatory considerations, translating regional requirements into practical guidance for global teams.
  • Build and continuously improve regional contract templates, playbooks, legal processes, and guidance materials as the business scales.
