The Stock Plan Administrator leads the end-to-end administration of our executive and director equity grants, employee stock purchasing, proxy and other SEC filings, and global equity programs. This role is a critical intersection of Finance, HR, Legal, and Compliance, responsible for managing the lifecycle of executive and director equity grants, the Employee Stock Purchase Plan (ESPP), and ensuring flawless compliance with applicable regulatory requirements, including assisting with the preparation of the proxy statement and other SEC filings. They are subject matter expert who can provide a high-quality experience for executives and our broader employee base, while ensuring data integrity and regulatory compliance.

Requirements

  • Bachelor’s degree in Finance, Accounting, Business Administration, or a related field.
  • 5+ years of direct experience in stock plan administration for a publicly traded company.
  • Experience specifically managing ESPP and assisting with preparation of Section 16 and other applicable SEC filings is required.

Nice To Haves

  • Certified Equity Professional (CEP) designation is highly preferred (Level II or III).
  • Certified Professional Accountant (CPA) or MBA is a plus but not required.

Responsibilities

  • Equity Award Management: Administer all aspects of executive, director, and employee equity grants (RSUs, PSUs, and Stock Options), including grant processing, vestings, exercises, and cancellations.
  • ESPP Administration: Manage the end-to-end execution of the Employee Stock Purchase Plan, including enrollment cycles, contribution tracking, purchase calculations, and coordination with global payrolls.
  • SEC Reporting & Proxy Support: Assist with preparation and management of Section 16 filings (Forms 3, 4, and 5) and other applicable SEC filings. Provide critical data and tables for the annual Proxy Statement (DEF 14A), including Executive Compensation tables.
  • Compliance & Audit: Ensure Sarbanes-Oxley (SOX) compliance by maintaining rigorous internal controls. Coordinate with internal and external auditors for quarterly and annual audits.
  • Global Tax & Payroll: Partner with the Tax and Payroll departments to ensure accurate tax withholding and reporting for equity transactions across multiple jurisdictions.
  • Employee Education: Act as the primary point of contact for equity-related inquiries. Develop and deliver training materials to help employees understand the value of their equity compensation.
