About The Position

Novelis is a global leader in aluminum recycling and rolling, providing sustainable aluminum solutions for aerospace, automotive, beverage packaging, and specialty markets. With headquarters in Atlanta, Georgia, Novelis employs approximately 13,000 people across 32 operating facilities on four continents. The Novelis North America (NNA) team is seeking a Senior Legal Counsel to provide commercially astute legal advice, focusing on risk assessment and mitigation. This role will primarily support the North America and Global business teams, particularly Business Value Streams and Logistics and Transportation, in managing commercial transactions and contracts with customers and suppliers. The position also involves managing contractual issues, commercial disputes, and other legal matters to anticipate and assess operational and strategic legal risks. Additionally, the Senior Legal Counsel will provide training on legal and corporate compliance matters and engage in special projects, with opportunities for growth in areas like commercial sales agreements and trade compliance.

Requirements

• Juris Doctor degree from accredited U.S. law school and active and admitted to a state bar
• Minimum of 5 years’ experience as in-house counsel or with corporate law firms.
• Advanced understanding of commercial law, UCC, and other statutes applicable to commercial transactions
• Able to work collaboratively with all internal functions, internal clients, and external counsel
• Excellent contract negotiation and drafting skills
• Excellent analytical and problem-solving skills and the ability to use independent judgment and creativity to resolve complex contract issues
• Meticulous and ability to handle multiple transactions and projects simultaneously under deadline pressure
• Excellent oral, written, and interpersonal communication skills, strong leadership skills, and the ability to build and sustain lasting relationships with customers and management
• Strong reputation for integrity and ability to balance business interests with the need to exercise independent judgment.
• The ability to raise (and intensify, if necessary) potentially sensitive or contentious issues
• Broad business knowledge, high energy, and enthusiasm with sound judgment

Nice To Haves

• Significant experience negotiating complex contracts, and resolving complex commercial disputes, is highly valued, as is experience counseling global organizations on commercial and compliance issues
• Background in negotiation of capital expansion projects with a manufacturing company is desired.

Responsibilities

• Collaborating with the Novelis North America Management Team, Business Value Streams and Functional Leaders, and Plant Management and providing commercially sensitive, practical legal advice and counseling to ensure that the Company’s legal needs are met and strategic objectives are promoted.
• Handling strategic commercial and business contract arrangements with customers and suppliers, including planning, structuring, analysis, negotiation, review, drafting and implementing of strategic commercial arrangements.
• Leading and/or supporting the negotiation of strategic critical path work packages while providing overall legal and risk management support to the project team.
• Providing legal counsel, strategic planning advice, leadership and commercial mentorship in support of Novelis North America commercial initiatives, and support to corporate global functions, as necessary, consistent with the Company’s contracts management policies and procedures, as well as training in support of risk management and compliance initiatives.
• Implementing general risk management and avoidance strategies and influencing business managers to adopt standard methodologies as necessary.
• Working with the legal team to help find opportunities for improvement, supporting legal initiatives and projects, and providing legal training to business teams.
