About The Position

IPSY is seeking a Paralegal and Contracts Manager to join its legal team. Reporting to the Vice President, Deputy General Counsel, you will work closely with business partners across Marketing, Finance, Operations, People and Tech, as well as with outside counsel and vendors. The ideal candidate is proactive, detail-oriented, organized, and comfortable owning processes end to end in a fast-moving environment. This role can be fully remote from any U.S. state IPSY is authorized to hire.

Requirements

  • Minimum of 7+ years of experience corporate paralegal, contracts manager and/or legal operations professional in an in-house legal department or law firm
  • Degree in Law, Paralegal Studies, or a related field
  • Strong drafting, organizational, and project-management skills with discretion in handling confidential matters
  • Experience with legal operations, including evaluating and implementing software, process implementation and optimization and vendor management
  • Proficiency with Google Workspace, Microsoft Office, Docusign and Box
  • Familiarity with Spotdraft (CLM) and Carta or similar platforms
  • Comfort using AI tools (e.g., Ruli AI, Claude, Gemini) to enhance efficiency with contract review and draft, research and legal team operations.
  • Experience with subsidiary management and corporate entity filings
  • Ability to work autonomously and manage competing priorities in a fast-paced environment
  • Detail-oriented with strong problem-solving abilities
  • Excellent communication and cross-functional teamwork skills

Nice To Haves

  • Experience with financings, mergers and acquisitions or startup-to-exit corporate work is a plus

Responsibilities

  • Own the contract intake queue: triage incoming agreements, route them for review, and track each through to signature.
  • Draft and provide end-to-end review of NDAs, certificates of engagement, consulting agreements, trademark licenses, and talent agreements. Conduct first-pass review of vendor contracts, SaaS agreements, and manufacturer agreements.
  • Maintain and develop contract playbooks for various types of agreements.
  • Administer the company’s contract management system and keep the electronic document and file management system organized and current.
  • Help drive legal automation and efficiency initiatives.
  • Manage the formation, qualification and ongoing good standing of the company's entities.
  • Prepare and file Secretary of State documents, including foreign entity registrations and trade name registrations, and maintain registered agent relationships.
  • Serve as the primary manager and administrator of corporate records.
  • Assist with preparation of materials for Board meetings; draft minutes, resolutions, and written consents.
  • Partner with teams across the business, including Marketing, Finance, Operations, People and Tech, as well as outside counsel, on matters requiring corporate legal support.
  • Build and maintain SOPs, process trackers, and self-service tools to keep the department scalable.
  • Provide project and administrative support to the legal team, including IP portfolio docketing, brand protection and marketing review support, subpoena intake, scheduling and deadline management.
  • Leverage AI tools to manage legal intake, conduct research, and monitor changes in the legal landscape.
