About The Position

LS Power is seeking an experienced, highly motivated self-starter to assist with and lead mergers and acquisitions, financings, and other corporate development activities for its private equity team. The role offers meaningful transaction responsibility and opportunities for professional development alongside collaborative, experienced peers. The Senior Counsel will support M&A, financing, and other corporate development activities.

Requirements

• Juris Doctor (JD).
• At least 8 years of experience handling complex M&A, financing, and other corporate transactions.
• Ability to serve as the primary in-house attorney on M&A and other corporate transactions, including handling multiple transactions or projects simultaneously.
• Ability to assess business challenges quickly, make timely and pragmatic recommendations under pressure, and independently identify, prioritize, and resolve issues while balancing legal risks and business interests.
• Excellent communication, project management, negotiation, and drafting skills.
• Flexibility to assist the corporate legal team as needs arise.

Responsibilities

• Lead mergers and acquisitions and other strategic transactions through all stages, including bids, due diligence, drafting and negotiating term sheets and definitive transaction documents, transaction closings, and post-closing integration, including documentation relating to management teams.
• Assist in preparing M&A-related investment committee meeting materials.
• Lead financing activities related to M&A transactions and the refinancing of existing portfolio-company debt.
• Collaborate with and build strong relationships across finance, tax, regulatory, accounting, asset and energy management, and investor relations teams.
• Assist the corporate legal team in its activities and mission as needs arise.
