About The Position

Robinhood is seeking an experienced corporate attorney to support a broad range of corporate legal matters, including mergers and acquisitions, investments and strategic transactions, corporate governance, SEC reporting and compliance, capital markets transactions, global subsidiary and entity management, executive compensation and equity operations, treasury- and tax-related matters, and other general corporate matters. The role offers an opportunity to contribute to Robinhood’s mission to democratize finance for all as part of a growing, fast-moving team.

The position reports to the Director and Associate General Counsel, Corporate and M&A. It is based in Robinhood’s Menlo Park, California, or Washington, DC offices, with in-person attendance expected at least three days per week.

Requirements

• J.D. from an ABA-accredited law school or foreign equivalent.
• Membership in at least one U.S. State Bar, in good standing.
• At least 5 years of broad corporate, securities, and transactional experience at a major law firm and/or in-house.
• Strong collaboration and interpersonal and communication skills, with demonstrated ability to work with other teams to drive alignment and action.
• Self-starter with a sense of ownership and ability to execute in a dynamic, fast-paced environment, juggle competing priorities to meet deadlines, and adapt quickly to new surroundings.
• Strong work ethic, thoroughness, critical thinking, and attention to detail.
• A roll-up-your-sleeves mentality and willingness to help wherever needed.

Responsibilities

• Assist with drafting and reviewing SEC filings, including Forms 10-K, 10-Q, and 8-K, proxy statements, and registration statements, and support the annual shareholder meeting process.
• Support corporate transactions, including M&A, investments, and strategic transactions.
• Support board and shareholder governance activities, including preparing and reviewing Board and committee meeting materials and drafting resolutions and minutes for Board and committee meetings and annual shareholder meetings.
• Assist with global subsidiary and entity management, including formation and ongoing maintenance of domestic and international subsidiaries, maintaining corporate records, ensuring regulatory compliance, and streamlining governance processes.
• Support investor relations and the quarterly earnings process, and help ensure Regulation FD compliance for investor communications.
• Support treasury- and tax-related matters, including capital markets transactions, credit facilities, stock repurchase plans, tax structuring, and intercompany arrangements.
• Work collaboratively and responsively with a broad range of stakeholders and develop trusted relationships to facilitate a coordinated team approach.
