About The Position
Axiom is seeking an experienced M&A Counsel to support a leading mining client. The role provides practical, hands-on legal support across mining transactions, commercial agreements, M&A, and securities matters. The counsel will work closely with legal and business stakeholders in a lean environment, independently managing matters and helping advance transactions and strategic initiatives.
Requirements
- Meaningful in-house legal experience with a mining company.
- Hands-on experience with mining transactions and commercial arrangements.
- Experience supporting corporate, commercial, M&A, joint venture, royalty, or offtake matters.
- Familiarity with public-company and securities matters.
- Licensed to practice law in an applicable jurisdiction.
Nice To Haves
- Experience with U.S. securities matters.
- Experience working within a lean in-house legal team.
Responsibilities
- Draft, review, and negotiate mining-related commercial agreements, including joint ventures, net smelter return (NSR) royalty arrangements, and offtake agreements for concentrate and doré products.
- Support small-scale M&A transactions, including due diligence, drafting, negotiation, and other North American M&A activity.
- Provide legal support on corporate and securities matters.
- Work with legal and business stakeholders to understand business priorities and provide practical legal guidance.
- Independently manage matters and transactions with minimal supervision in a lean legal environment.
