About The Position

Illinois Bone and Joint Institute, LLC is seeking an experienced, highly organized Corporate Paralegal to join its Legal Department. Reporting to the General Counsel, this position provides substantive support in corporate governance, commercial real estate, contracting, entity management, regulatory filings, and other legal department matters. The ideal candidate can independently manage projects and deadlines, prepare and review legal documents, maintain accurate corporate and transactional records, and coordinate effectively with internal stakeholders, outside counsel, landlords, vendors, and government agencies.

Requirements

  • Bachelor’s degree required; law degree preferred
  • Paralegal Certificate
  • At least seven years of corporate paralegal experience, preferably within a corporate legal department, law firm, or healthcare organization
  • Meaningful experience with corporate governance, entity management, commercial real estate, commercial contracts
  • Experience preparing legal documents and managing matters with limited supervision
  • Familiarity with corporate filings and regulatory requirements
  • Strong proficiency with Microsoft Office 365, Google Workspace, spreadsheets, document-management or contract-management systems
  • Excellent organizational, written communication, and attention to detail skills
  • Ability to prioritize competing demands, meet deadlines, and manage multiple matters in a fast-paced environment
  • Professionalism, initiative, and the ability to collaborate effectively with attorneys, executives, business teams, and outside parties

Responsibilities

  • Draft, review, and revise contracts, amendments, correspondence, and other commercial documents using approved templates and guidance
  • Coordinate contract review, approval, execution, tracking, renewal, and storage
  • Maintain contract templates and legal department records
  • Identify nonstandard provisions, missing information, and potential legal risks
  • Improve workflows, document management, contract-lifecycle processes
  • Coordinate with internal departments and outside counsel on legal and transactional matters
  • Support commercial real estate transactions, including leases, construction projects, and related due diligence
  • Draft and review leases, amendments, estoppel certificates, SNDAs, construction agreements, architect agreements, notices, and related documents for attorney review
  • Maintain accurate lease and property records
  • Maintain transaction checklists, critical dates, and project timelines
  • Maintain corporate records, organizational documents, entity databases
  • Prepare and file entity formations, qualifications, amendments, annual reports
  • Track filing deadlines and maintain entities in good standing
  • Coordinate other corporate filing requirements
  • Assist with legal research, policy drafting, regulatory filings, and special projects
  • Support the Legal and Compliance teams with audit documentation, training records
  • Assist with claims, litigation, subpoenas, insurance matters, and document collection
  • Perform other duties and projects assigned by the General Counsel
  • Maintain a clean and safe work environment
