About The Position

The Senior Corporate Counsel role is a dynamic position requiring adaptability, creativity, and efficiency in managing diverse legal matters across multiple global jurisdictions. The individual will be responsible for developing and implementing global legal strategies to mitigate risk and ensure cost-effectiveness. This includes retaining and directing external law firms and experts, supervising international entities for legal compliance, and managing significant real estate assets. The role demands the ability to handle complex, novel legal issues, exercise astute problem-solving, and develop protective software systems for e-discovery and data encryption. The candidate must be able to respond quickly to deadlines, prioritize a high volume of work, and perform efficiently in a fast-paced environment.

Requirements

  • Doctorate of Jurisprudence from an accredited law school.
  • Admitted and in good standing to the Commonwealth of Pennsylvania Supreme Court (no lapse in license).
  • At least seven (7) years of high-level corporate experience.
  • Demonstrated competencies in Contracts, Financial matters (banking and credit facilities), Intellectual property, Environmental matters, International law matters, Commercial real estate/leasing, and Corporate governance.
  • Knowledge and experience with global anti-corruption laws and regulations (Foreign Corrupt Practices Act, United Kingdom Bribery Act, Japanese Unfair Competition Law, the Frank Dodd Act [including experience with Conflict Minerals], and Sarbanes Oxley provisions).
  • Ability to examine volumes of complex information quickly and efficiently and prepare a case plan for each pending legal matter.

  • Must be a self-starter, require little supervision, and be able to work independently.

Responsibilities

  • Develop effective global legal strategies across multiple jurisdictions for risk mitigation and cost-effective implementation.
  • Retain, direct, and supervise international external law firms, consultants, and third-party experts on corporate governance, environmental laws, partnership/joint venture arrangements, real estate transactions, general corporate laws, human resource/benefit regulations, and intellectual property laws.
  • Direct, supervise, and administer EBARA Energy Company (“Energy Company”) entities worldwide and their affiliates to ensure compliance with country-specific legal obligations, proper documentation of corporate structure and actions, adherence to by-laws and articles of incorporation, and timely filing of meeting minutes and corporate registrations.
  • Supervise and maintain records, leasehold arrangements, ownership documents, and transactions for Energy Company and its real estate assets, ensuring regulatory compliance, zoning, tax assessment, and negotiation of commercial leases worldwide.
  • Adapt to handle novel issues with complexities and new legal territories expediently.
  • Exercise problem-solving and creative thinking in designing legal strategies that facilitate global operational needs.
  • Develop, supervise, and maintain software systems for e-discovery protection and encryption programs to safeguard company electronic data, intellectual property, and confidential information.
  • Work closely with the Global Information and Documents Specialist to register, maintain, and protect Energy Company’s intellectual property globally.
  • Communicate, direct, and monitor activities of outside counsel representing Energy Company’s interests globally to minimize adverse impacts of litigation and claims.
  • Prepare confidentiality agreements to protect proprietary information worldwide and maintain the confidentiality agreement database.
  • Perform contract analysis and reviews, prepare corporate commercial documents, banking, financial, and credit facility documentation, and interface with operational personnel.
  • Ensure Energy Company and its subsidiaries observe legal obligations and document their structure and actions by maintaining corporate records globally and participating in annual corporate meetings.
  • Jointly work with the Associate General Counsel and the Energy Company Chief Risk Officer for acquisitions, divestitures, and integration matters.
  • Supervise the maintenance and audit of Energy Company real estate assets and handle aspects of real estate transactions, including regulatory compliance, zoning, and tax assessment issues.
  • Assist with legal support and preparation of documentation for Energy Company sales transactions.
  • Assist with the preparation of documentation required for Energy Company procurement transactions.
  • Maintain professional license and skills through continuing legal education and business seminars.
  • Ensure appropriate legal support functions provide cost-effective and timely services.
