Requirements

  • Juris Doctor (JD) from an accredited law school and admission to practice law in the applicable jurisdiction.
  • 5+ years of experience handling corporate law matters, including capital markets transactions, financing arrangements, corporate governance, restructurings, intracompany loans and distributions, entity rationalization initiatives, joint ventures, and related corporate transactions, ideally in a corporate legal department or law firm setting.

  • Experience supporting international and cross-border transactions.
  • Experience advising Boards of Directors and executive leadership teams.
  • Familiarity with regulatory frameworks impacting payments, financial services, or technology organizations.
  • Experience supporting complex, global organizations and a strong interest in the payments industry.

Responsibilities

  • Provide legal guidance and support on a broad range of corporate matters, including securities, finance, corporate governance, and strategic corporate transactions.
  • Support capital markets transactions, financing activities, corporate restructurings, intercompany arrangements, rationalization projects, subsidiary management initiatives, integration projects and other corporate matters.
  • Assist with Board of Directors and committee governance activities, including preparation of resolutions, meeting materials, minutes, and governance disclosures.
  • Assist in managing corporate filings and maintaining corporate records.
  • Support annual meeting preparation, director onboarding, governance disclosures, and board evaluations.
  • Partner with business leaders and cross-functional stakeholders to identify legal risks, develop practical solutions, and drive compliance with applicable laws and regulations.
  • Support SEC reporting obligations and collaborate with internal and external partners on public company governance and regulatory matters.
  • Develop and implement policies and procedures to ensure compliance with applicable laws and regulations.
  • Develop and enhance governance processes, controls, and operational efficiencies.
