About The Position

SBA Communications, a publicly traded global leader and S&P 500 company, is seeking a Senior Corporate Counsel, Mergers & Acquisitions (Real Estate) to provide legal support for its high-volume M&A team. This role will focus on real estate matters, including drafting, reviewing, and negotiating real estate agreements such as ground leases, easements, and fee simple acquisitions. The position also involves performing real estate due diligence, including title and survey analysis, and supervising administrative staff and paralegals in connection with M&A transactions. The ideal candidate will be a self-starter, capable of prioritizing matters in a fast-paced environment, and will collaborate cross-functionally with the M&A team and other departments to manage transactions from inception to closing.

Requirements

  • Juris Doctor (J.D.) from an accredited law school.
  • Active bar admission in at least one U.S. jurisdiction.
  • 6-10 years of experience practicing real estate law in a law firm or in-house for a large company.
  • Strong written and oral communication skills.
  • Attention to detail in the preparation and review of contracts and supporting documents.
  • Strong organizational skills.
  • Ability to accomplish multiple tasks within agreed-upon timeframes.

Responsibilities

  • Draft, review, negotiate, and redline real estate agreements, including ground leases, tenant leases, easements, purchase agreements, closing documents, and various other contracts and agreements.
  • Analyze title commitments, surveys, and other due diligence materials, and recommend solutions for identified issues.
  • Work with internal M&A department colleagues to identify and resolve due diligence issues.
  • Manage transactions through closing, ensuring timely and accurate closings.
  • Prioritize deal demands.
  • Coordinate with internal and external stakeholders, sellers, and title agents.
  • Provide legal guidance and respond to real estate-related questions.
  • Assist with amendments, extensions, terminations, expansions, assignments, and other modifications to existing real estate agreements.
  • Supervise and manage administrative staff, paralegals, and, if needed, outside counsel.
  • Take ownership of matters and drive transactions forward.
  • Ensure follow-through on tasks and responsibilities.
  • Maintain a high level of accuracy in drafting, reviewing, and managing transaction documents.
  • Collaborate with internal and external legal colleagues and business partners.
