About The Position

This role plays an integral part in the day-to-day needs of the legal team, as well as the company’s business associates. The Senior Counsel will provide comprehensive legal support and counsel, applying specific expertise to mergers and acquisitions while also delivering sound legal and business advice to various internal groups. The candidate will work closely with the in-house team, management, and business leaders to proactively identify and address legal risks, ensure compliance with applicable laws, and mitigate pre-litigation risk across diverse business units.

Requirements

  • Juris Doctor (J.D.) from an accredited law school.
  • Active law license in a state bar of at least one US state and willingness to obtain a Pennsylvania Limited In-House Corporate Counsel License.
  • 6+ years of relevant experience, with strong expertise in mergers and acquisitions and advising on complex commercial matters.
  • Excellent verbal and written communication skills.
  • Excellent organizational and analytical skills coupled with a problem-solving mindset.
  • Ability to be flexible and adaptive in handling multiple priorities within deadlines, and be results oriented.
  • Self-starter with the ability to perform without significant direct supervision.
  • Maturity to interface and communicate effectively with a variety of stakeholders, including all levels of employees, internal and external legal counsel, customers, and vendors.
  • Strong interpersonal skills in forming and maintaining good relationships with colleagues, including business management teams.
  • Ability to travel occasionally.
  • Established working knowledge of Microsoft Office and Google Suite (or G Suite).

Responsibilities

  • Lead and support contract review matters and transactions associated with mergers, acquisitions, and divestitures.
  • Provide day-to-day counseling to internal business teams on commercial, strategic, and contract negotiation issues.
  • Draft, negotiate, and review a variety of commercial contracts in support of multiple business units.
  • Lead and advance negotiations related to contractual terms and conditions.
  • Interpret contractual provisions to analyze possible legal and business exposure and to ensure that the company's contract terms are being followed.
  • Provide guidance on contract interpretation and breach of contract matters, as well as advice to leadership on potential claims and disputes with a view to reaching commercial settlement and avoiding litigation, where advisable.
  • Develop, draft, and ensure the relevance and timeliness of contract templates and acceptable alternative language.
  • Observe all laws and regulations, maintaining an awareness of regulatory changes and their impact on contracts and the company.
  • Provide training to company personnel in contract practices and negotiation strategies.
  • Collaborate with external counsel in connection with complex negotiations, transactions, and disputes.
