About The Position

Trial Library is seeking a Senior Contracts Manager to own the company’s contracting function and serve as the primary legal point of contact for contracting and legal operations. The role owns the contract lifecycle from intake through drafting, negotiation, execution, and post-signature obligations, and administers the company’s CLM platform. The successful candidate will thrive in a fast-paced healthtech environment, balance legal, regulatory, and compliance risk against business value, and build effective administrative legal processes while advancing contracts with speed and precision. The position works closely with business stakeholders and the Head of Legal to negotiate commercial agreements, advise leaders on contractual rights and obligations, and develop the templates, playbooks, policies, and workflows needed to scale the contracting function. The role is hybrid and based in San Francisco, with three required office days per week: Wednesday, Thursday, and Friday.

Requirements

  • Juris Doctor (JD) required.
  • 5–8+ years of contract negotiation and management experience, handling high contract volume in healthtech, biotech, pharmaceutical, life sciences, or clinical research.
  • Expertise in the regulatory, compliance, risk, and liability issues described in the posting, with judgment to apply them to complex, high-stakes deals.
  • Hands-on experience administering a CLM platform and configuring workflows, templates, and reporting.
  • Sound legal judgment and a track record of commercial agreement experience, including knowing when to hold a position, concede, or escalate.
  • Strong organizational and time-management skills across many deals and competing deadlines.
  • Excellent written and verbal communication, including the ability to explain contract terms and risks in clear, business-friendly language.
  • Comfort working independently with minimal supervision.

Responsibilities

  • Draft, review, redline, and negotiate customer, vendor, partnership, and client agreements, including MSAs, SOWs, NDAs, BAAs, DPAs, data-sharing agreements, licensing agreements, API and technology partner agreements, revenue-share agreements, healthcare provider network agreements, amendments, change orders, renewals, terminations, and ad hoc agreements.
  • Partner with stakeholders to understand deal scope, objectives, and risk tolerance, and translate business needs into clear, enforceable contract language.
  • Represent Trial Library directly with commercial partners, including joining partner meetings and calls, leading live negotiations, and advancing deals to signature.
  • Advise business leaders in plain business language on contractual rights and obligations, intellectual property and data rights, and risk mitigation.
  • Escalate non-standard terms, data protection and security requirements, and legal or regulatory risks to the Head of Legal with a recommended position.
  • Monitor changes in laws, regulations, and industry standards affecting contracts, and recommend updates to templates, playbooks, and fallback language.
  • Prepare a deal sheet for each executed commercial contract summarizing key terms, obligations, and risks for teams responsible for performance.
  • Negotiate high-risk healthtech contract terms, including HIPAA BAAs; PHI/PII privacy, data-sharing, and security provisions; compensation, revenue-share, and referral arrangements involving the Anti-Kickback Statute, Stark Law, and EKRA; and liability, indemnification, limitation of liability, warranties, insurance, IP, and AI data-use provisions.
  • Administer and serve as the subject-matter expert for the CLM platform, including templates, workflows, user permissions, reporting, enhancements, troubleshooting, and user training.
  • Manage contract intake to meet business deadlines and track obligations, renewals, and compliance.
  • Partner with the Head of Legal to build and maintain templates, playbooks, fallback language, contracting policies, and processes.
  • Identify opportunities to improve contracting workflows, reporting, and metrics.
  • Support other legal and cross-functional projects as assigned by the Head of Legal.
