About The Position

This Secretary of the board of directors is an officer seat in the leadership group of Capital Resource Connections, responsible for a wide range of duties that are aimed at helping fellow board officers and members get the most out of their collaboration. The three-year term begins on the first of the month following the directors/officers' meeting that follows their election and ends at the close of the installation of directors/officers in the year the term ends. The Secretary may be elected to one additional consecutive term in the same position. The primary purpose of the Secretary of the Board of Directors is to ensure organized and accurate record keeping in addition to ensuring that all board meetings operate smoothly. This is an essential role on the board of directors.

Requirements

  • Fully proficient with Microsoft Office software including Word, Excel, PowerPoint, Outlook, Teams.
  • Ability to be trustworthy and execute actions in the best interest of the financial stability of Capital Resource Connections.
  • Participation in quarterly board of directors meetings.
  • Professional member in good public standing.
  • Demonstrated involvement in local community outreach and/or advocacy, state and/or national levels.
  • Demonstrated commitment to Capital Resource Connections.
  • Compliance with the Capital Resource Connections Code of Ethical Standards.
  • Involvement in board-related activities.
  • Involvement in two multi-day board retreats per year.
  • Maintain board director fiduciary responsibilities as it relates to funding and the development of the organization.
  • Enjoy advocating for the LGBTQIA+ community.

Nice To Haves

  • A minimum of four (4) years of experience in this role or a similar role in a nonprofit organization.

Responsibilities

  • Organizing meetings: The secretary schedules and prepares invitations for meetings.
  • Creating agendas according to current bylaws and distributing them to officers and members, along with any supporting documentation.
  • Building communication: Bridging the communication gap between board members and executives.
  • Advising the board on specific issues.
  • Preparing materials: Arranging meeting materials, such as reports and presentations, in accordance with Safe Place guidelines.
  • Recording minutes: Extracting key information from meetings, taking detailed minutes, and sending them to the full board of directors and executive staff within a week.
  • Maintaining documentation: Reviewing and updating documents to ensure accuracy and verification.
  • Preserving all meeting records approved by officers and directors.
  • Creating corporate resolutions.
  • Informing board members of news affecting their board member responsibilities and explaining how it applies to them.
  • Recruiting officers and members as needed.
  • Being actively engaged in carrying out the impact and mission of Capital Resource Connections with the utmost professionalism.
  • Facilitating various special projects as the need arises.
  • Periodic submissions as a representative of Capital Resource Connections leadership for publications as needed.
  • Assisting in the recruitment of future board members and nomination of award winners.
  • Timely communication.
