About The Position

We are seeking a mid-level associate with 4 to 6 years of law firm experience to join our Fund Formation practice in one of the offices listed above. This is a partnership-track position offering significant client responsibility, mentorship from experienced partners, and exposure to a sophisticated and varied deal pipeline. The associate will manage sponsor-side and investor-side engagements, including drafting and negotiating limited partnership agreements, private placement memoranda, subscription documents, side letters, and advisory committee governance documents, as well as advising on regulatory and compliance matters. We primarily advise venture capital, growth equity, impact, and crossover fund managers - from established platforms to first-time emerging managers - on fund formation, regulatory compliance, secondary transactions, co-investment vehicles, and capital deployment across the innovation ecosystem. We also represent governmental pension plans, insurance companies, sovereign wealth funds, and other institutional limited partners in their fund commitments and co-investment activity. Requirements

  • J.D. from an accredited law school
  • 4 to 6 years of law firm experience in private fund formation and investment management
  • Active bar membership (or eligibility for prompt admission) in the state of practice
  • Excellent academic credentials
  • Strong written and verbal communication skills
  • Ability to manage multiple workstreams independently

Nice To Haves

  • Experience representing both fund sponsors and institutional investors (limited partners)
  • Familiarity with venture capital and growth equity funds
  • Familiarity with emerging manager platform dynamics
  • Familiarity with SEC and state regulatory frameworks for private fund advisers
  • Familiarity with co-investment and secondary fund structures
