About The Position

We are seeking a junior career associate to join our Fund Formation practice. This is a career associate position - a long-term, non-partnership-track role designed for attorneys who value high-quality transactional work, mentorship, work-life balance, and a defined professional path within a leading global law firm. The associate will work closely with partners and senior associates on fund formation matters, including drafting and reviewing limited partnership agreements, private placement memoranda, subscription documents, and side letters, with exposure to both sponsor-side and investor-side representations. Orrick's Fund Formation practice, part of our Technology Companies Group (TCG), is among the most active and highly regarded in the United States. We primarily advise venture capital, growth equity, impact, and crossover fund managers - from established platforms to first-time emerging managers - on fund formation, regulatory compliance, secondary transactions, co-investment vehicles, and capital deployment across the innovation ecosystem. We also represent governmental pension plans, insurance companies, sovereign wealth funds, and other institutional limited partners in their fund commitments and co-investment activity. Requirements

  • J.D. from an accredited law school.
  • 1-2 years of experience.
  • Active bar membership (or eligibility for prompt admission) in West Virginia or Pennsylvania.
  • Strong academic credentials.
  • Excellent written and verbal communication skills.
  • Attention to detail.
  • Genuine interest in a long-term career in private fund formation.

Nice To Haves

  • Prior transactional legal experience through law school clinics, internships, clerkships, or early associate work.
  • Coursework or interest in securities regulation, investment management, corporate law, or partnership taxation.

Responsibilities

  • Drafting and reviewing limited partnership agreements, private placement memoranda, subscription documents, and side letters.
