About The Position
A premier international law firm is seeking a Private Equity Associate Attorney to join its Dallas office. This opportunity is ideal for an attorney interested in representing private equity sponsors, portfolio companies, strategic investors, and other sophisticated clients in complex domestic and cross-border transactions.
Requirements
- 3–6 years of private equity, mergers & acquisitions, or corporate transactional experience gained at a sophisticated law firm
- Experience representing private equity sponsors, portfolio companies, strategic buyers and sellers, and other corporate clients in sophisticated transactions
- J.D. from an ABA-accredited law school required
- Texas bar admission required or ability to become admitted
Nice To Haves
- Experience with cross-border transactions is a plus
- Excellent academic credentials
Responsibilities
- Representing private equity sponsors, portfolio companies, strategic investors, and other sophisticated clients in complex domestic and cross-border transactions.
- Handling acquisitions, dispositions, leveraged buyouts, recapitalizations, growth equity investments, and other private equity transactions.
- Drafting and negotiating purchase agreements, merger agreements, equity investment documents, and related transaction documentation.
- Conducting and managing legal due diligence and coordinating transaction workstreams.
- Advising clients on general corporate governance matters, entity formation, and ongoing corporate matters.
- Managing sophisticated transactions while working directly with clients and opposing counsel.
