About The Position

A premier AmLaw 50 firm is seeking a Private Companies – Life Sciences Associate Attorney to join its New York office. This opportunity is ideal for an attorney interested in representing venture-backed life sciences companies, founders, venture capital funds, and strategic investors throughout the full corporate lifecycle—from formation and financing through strategic growth and exit transactions.

Requirements

• 3–6 years of corporate experience gained at a national or international law firm
• Significant experience representing early-stage and growth-stage life sciences companies on day-to-day corporate matters
• Experience advising venture-backed companies, founders, venture capital funds, and institutional investors
• Experience handling venture capital financings, including seed, Series A through later-stage preferred equity financings
• Experience counseling emerging companies throughout their corporate lifecycle, including entity formation, governance, commercial matters, equity compensation, and general corporate counseling
• Experience supporting mergers and acquisitions, strategic transactions, IPO readiness, and other liquidity events
• Experience drafting and negotiating stock purchase agreements, investor rights agreements, voting agreements, capitalization documents, financing documents, and other corporate transaction documents
• Strong drafting, negotiation, analytical, and client counseling skills
• Ability to independently manage sophisticated transactions while maintaining significant client interaction
• Excellent academic credentials from an ABA-accredited law school
• New York bar admission required or ability to become admitted

Responsibilities

• Representing venture-backed life sciences companies, founders, venture capital funds, and strategic investors throughout the full corporate lifecycle—from formation and financing through strategic growth and exit transactions.
• Representing early-stage and growth-stage life sciences companies on day-to-day corporate matters.
• Advising venture-backed companies, founders, venture capital funds, and institutional investors.
• Handling venture capital financings, including seed, Series A through later-stage preferred equity financings.
• Counseling emerging companies throughout their corporate lifecycle, including entity formation, governance, commercial matters, equity compensation, and general corporate counseling.
• Supporting mergers and acquisitions, strategic transactions, IPO readiness, and other liquidity events.
• Drafting and negotiating stock purchase agreements, investor rights agreements, voting agreements, capitalization documents, financing documents, and other corporate transaction documents.
