About The Position

This opportunity is ideal for an attorney interested in representing biotechnology, pharmaceutical, medical devices, diagnostics, and other life sciences companies in sophisticated intellectual property licensing, technology transactions, and strategic collaborations. The role involves representing leading biotechnology, pharmaceutical, and life sciences innovators, offering significant client interaction and early responsibility. It is a hybrid role based in the Boston office of a premier AmLaw 50 firm.

Requirements

  • 3–4 years of life sciences licensing and technology transactions experience gained at a national or international law firm
  • Experience advising biotechnology, pharmaceutical, medical device, diagnostics, and other life sciences companies
  • Significant experience drafting and negotiating intellectual property license agreements, including patent and trademark licenses
  • Experience negotiating joint development agreements, collaboration agreements, strategic alliance agreements, research agreements, and technology transfer agreements
  • Experience drafting and negotiating technology agreements, including software-as-a-service (SaaS) agreements, commercial technology agreements, and services agreements
  • Experience with distribution agreements, commercialization agreements, and other strategic commercial transactions
  • Experience conducting intellectual property and technology due diligence in connection with mergers and acquisitions, financings, licensing transactions, and other corporate transactions
  • Experience supporting technology transfer and broader corporate transactions involving valuable intellectual property assets
  • Strong drafting, negotiation, analytical, and client counseling skills
  • Ability to independently manage sophisticated licensing and technology transactions while maintaining significant client interaction
  • Excellent academic credentials
  • J.D. from an ABA-accredited law school required
  • Massachusetts bar admission required or ability to become admitted

Responsibilities

  • Representing biotechnology, pharmaceutical, medical device, diagnostics, and other life sciences companies in sophisticated intellectual property licensing, technology transactions, and strategic collaborations.
  • Drafting and negotiating intellectual property license agreements, including patent and trademark licenses.
  • Negotiating joint development agreements, collaboration agreements, strategic alliance agreements, research agreements, and technology transfer agreements.
  • Drafting and negotiating technology agreements, including software-as-a-service (SaaS) agreements, commercial technology agreements, and services agreements.
  • Negotiating distribution agreements, commercialization agreements, and other strategic commercial transactions.
  • Conducting intellectual property and technology due diligence in connection with mergers and acquisitions, financings, licensing transactions, and other corporate transactions.
  • Supporting technology transfer and broader corporate transactions involving valuable intellectual property assets.
  • Managing sophisticated licensing and technology transactions while maintaining significant client interaction.
