About The Position

A premier AmLaw 50 firm is seeking a Private Companies Associate Attorney to join its Boston office. This opportunity is ideal for an attorney interested in representing venture-backed startups, emerging growth companies, founders, venture capital funds, and strategic investors throughout every stage of the corporate lifecycle.

Requirements

  • 3–6 years of corporate experience gained at a national or international law firm
  • Significant experience representing early-stage and growth-stage companies on day-to-day corporate matters
  • Experience advising venture-backed companies, founders, venture capital funds, institutional investors, and emerging businesses
  • Experience handling venture capital financings, including seed, Series A through later-stage preferred equity financings
  • Experience counseling clients on entity formation, corporate governance, capitalization matters, equity compensation, commercial agreements, and general corporate matters
  • Experience supporting mergers and acquisitions, strategic investments, recapitalizations, IPO readiness, and other liquidity events
  • Experience drafting and negotiating stock purchase agreements, investor rights agreements, voting agreements, financing documents, stockholder agreements, and other corporate transaction documents
  • Strong drafting, negotiation, analytical, and client counseling skills
  • Ability to independently manage sophisticated corporate transactions while maintaining significant client interaction
  • Excellent academic credentials from an ABA-accredited law school
  • Massachusetts bar admission required or ability to become admitted

Responsibilities

  • Representing venture-backed startups, emerging growth companies, founders, venture capital funds, and strategic investors throughout every stage of the corporate lifecycle.
  • Representing early-stage and growth-stage companies on day-to-day corporate matters.
  • Advising venture-backed companies, founders, venture capital funds, institutional investors, and emerging businesses.
  • Handling venture capital financings, including seed, Series A through later-stage preferred equity financings.
  • Counseling clients on entity formation, corporate governance, capitalization matters, equity compensation, commercial agreements, and general corporate matters.
  • Supporting mergers and acquisitions, strategic investments, recapitalizations, IPO readiness, and other liquidity events.
  • Drafting and negotiating stock purchase agreements, investor rights agreements, voting agreements, financing documents, stockholder agreements, and other corporate transaction documents.
  • Independently managing sophisticated corporate transactions while maintaining significant client interaction.
