As a Paralegal, you will be responsible for providing support to the attorneys in the Legal Department, primarily with respect to Hamilton Lane investment funds, as well as a variety of general corporate matters.

Requirements

  • Paralegal training (certificate) and minimum two years work experience in a legal environment, preferably a corporate department of a reputable law firm or in-house legal department.
  • Ability to review and draft legal documentation and to identify certain issues independently
  • Excellent verbal and written communication skills
  • Extremely detail-oriented and organized
  • Proficient in MS office applications (Word, Excel, PowerPoint) and Adobe Pro
  • Ability to interface effectively with clients, peers and counterparties
  • Ability to simultaneously manage many assignments and quickly shift focus from one project to another as circumstances dictate
  • Ability to work effectively and independently in a demanding, fast-paced environment
  • Must be eligible to work in the United States without requiring sponsorship

Nice To Haves

  • BA/BS and/or private equity experience a plus.

Responsibilities

  • Assist attorneys with various matters, including fund documents, regulatory filings and corporate resolutions
  • Prepare formation and governing documentation for new entities
  • Working with outside counsel, coordinate distribution of legal documents to prospective investors and closings for Hamilton Lane funds
  • Communicate with fund investors, outside counsel and Hamilton Lane’s business units regarding status and timing of closings
  • Post-closing organization and management of transaction documents
  • Serve as point of contact to provide transaction and other legal documents to other departments in Hamilton Lane and outside service providers
  • Assist business personnel with research and data gathering projects in support of client and prospect presentations
  • Maintain corporate records of Hamilton Lane fund entities
  • Prepare and maintain electronic files of closing documents for Hamilton Lane funds
  • Prepare filings and maintain registrations of Hamilton Lane companies in foreign countries
  • Special projects as required
