About The Position

The incumbent's primary responsibilities are described below. They will mainly assist the Director, Legal Affairs and Assistant Corporate Secretary. PRIMARY RESPONSIBILITIES Maintain electronic and physical corporate minute books for Cogeco Inc., Cogeco Communications Inc., and their Canadian subsidiaries. Maintain public registers applicable to federal and provincial companies (including REQ, Statistics Canada, and Corporations Canada). Perform various tasks to meet securities requirements for reporting issuers, including SEDI filings and TSX filings/updates. Participate in the preparation of continuous disclosure documents. Assist in preparing corporate legal documentation for Board of Directors and committee meetings. Create Board and committee meeting books on the Diligent electronic platform and maintain up-to-date reference documentation for directors. Participate in the annual Board evaluation process. Support various corporate reorganization projects or M&A transactions. Conduct ad hoc legal and governance research. Generally support any requests requiring administrative legal assistance (e.g., certificate requests, resolutions, corporate searches, etc.).

Requirements

  • College Diploma (DEC) in Paralegal Technology or any other relevant training.
  • Minimum of 5 years of experience as a paralegal in corporate law and/or securities.
  • Bilingualism (English and French) with exceptional oral and written skills in both languages, is essential.(The role requires close collaboration with internal and external resources outside of Quebec)
  • Proficiency in IT; knowledge of Google Suite is an asset.
  • Interest and ability to master new software.
  • Ability to work effectively within diverse teams.
  • A proven track record of developing and maintaining robust workflows to ensure consistency and quality
  • High degree of discretion and tact in communications.
  • Ability to work with minimal supervision, demonstrating autonomy, initiative, judgment, and strong organizational skills.
  • Strong attention to detail, quality, and rigor.
  • Ability to manage multiple priorities and files simultaneously.
