About The Position

Join Alston & Bird’s nationally recognized Finance Practice Group and play a key role in some of the most sophisticated corporate and finance transactions in the market. Our New York office is seeking a highly motivated Paralegal with 3+ years of experience to support a dynamic team of attorneys through all phases of complex corporate and finance matters. This is an exciting opportunity for a detail-oriented professional who thrives in a fast-paced, collaborative environment and enjoys working on high-impact transactions. In this role, you will assist attorneys with transaction management, due diligence, document preparation and organization, closing processes, and regulatory compliance matters. You will have the opportunity to work closely with legal professionals and clients while gaining valuable experience across a broad range of finance-related matters.

Requirements

  • 3+ years of experience
  • Exceptional organizational skills with the ability to prioritize multiple tasks and thrive under tight deadlines.
  • Strong interpersonal and communication skills, with the ability to work effectively with clients, attorneys, and business professionals at all levels.
  • A client-service mindset and the ability to build positive, collaborative relationships across teams.
  • Excellent attention to detail and commitment to producing high-quality work product.
  • Ability to handle confidential and sensitive information with the utmost discretion.
  • Strong judgment, initiative, and problem-solving abilities in a fast-paced environment.
  • Flexibility to work additional hours as needed to meet client and transaction deadlines.
  • Experience with Microsoft Co-Pilot and Harvey AI tools

  • Prior experience supporting corporate, structured finance, secured lending, or transactional practices

Responsibilities

  • Manage and assist with the closing of various transactions, including the preparation, coordination, and organization of closing sets.
  • Collaborate with attorneys to draft and prepare legal documents related to asset purchase, structured finance, and securitization transactions.
  • Prepare, coordinate, and manage Uniform Commercial Code (UCC) filings.
  • Conduct legal research to ensure compliance with UCC requirements and state-specific regulations.
  • Perform due diligence reviews, including examining the financial and legal backgrounds of parties involved in transactions.
  • Maintain accurate and organized transaction records, track deadlines, and monitor filing requirements.
  • Build strong relationships and serve as a liaison with clients, vendors, and other stakeholders.
  • Proofread and perform quality control reviews of legal and transaction documents.
  • Coordinate with attorneys to ensure critical deadlines and client expectations are consistently met.
  • Support attorneys throughout all stages of corporate and finance transactions, including due diligence, closings, and post-closing activities.
