About The Position

The Paralegal – Finance (UCC) is an integral part of Latham’s Legal Professional and Paralegal team. This role will be responsible for providing experienced legal and procedural support to attorneys on UCC matters in connection with secured finance and other financing transactions, while obtaining, reviewing, and summarizing lien and litigation searches from various state and local jurisdictions. This role will be located in our New York office. Please note that this role may be eligible for a flexible working schedule that allows for a hybrid and in-office presence.

Requirements

  • A bachelor’s degree or equivalent
  • A paralegal certificate from an ABA-approved program or signed declaration if located in a California office
  • A minimum of four (4) years of law firm related experience as a paralegal
  • Exhibit advanced proficiency with firm technologies and resources, with the ability to quickly adopt new tools, integrate technology effectively into workflows, and identify opportunities to improve efficiency and processes
  • Demonstrate advanced organizational and time management skills, with the ability to manage complex workflows and competing priorities, anticipate needs and deadlines, and consistently deliver high-quality work in a deadline-driven environment
  • Display strong attention to detail and commitment to quality, with the ability to independently review work for accuracy, completeness, consistency, and compliance with applicable firm policies, procedures, and quality standards

Responsibilities

  • Assisting attorneys and other paralegals with due diligence reviews
  • Ordering articles of organization and incorporation and corporate and tax certificates of good standing from vendors in appropriate jurisdictions; reviewing results and assisting with resolving issues, as needed
  • Reviewing finance and closing documents, including credit agreements, security agreements, pledge agreements, indentures, mortgages, and payoff documents, for UCC provisions, authority to file liens and terminations, and other UCC-related requirements
  • Preparing and filing UCC-1 financing statements, including collateral exhibits, and UCC-3 amendments, continuations, and terminations at the state and local levels in connection with various types of transactions, including secured transactions representing both borrowers and lenders
  • Coordinating with service companies regarding UCC filings and terminations required in connection with transaction closings
  • Protecting and maintaining any highly sensitive, confidential, privileged, financial, and/or proprietary information that Latham & Watkins retains
