About The Position

The Corporate Paralegal provides administrative, legal, contract, and policy and procedure support to various departments within The Village Network. This position assists with corporate governance, policy and procedure management, contract management, regulatory compliance, and risk management activities. This role ensures the organization maintains accurate corporate records, complies with applicable laws and regulations, and operates with strong internal controls and documentation practices. This will be done in alignment with The Village Network’s Mission, Vision & Values.

Requirements

  • Associate degree or Bachelor’s degree and Paralegal Certificate from an accredited program preferred; equivalent work experience may be considered.
  • 3–5 years of experience as a corporate or in-house paralegal.
  • Strong knowledge of corporate governance, policy and procedure, and contract administration practices.
  • Proficiency with Microsoft Office and legal document management systems.
  • Excellent attention to detail, organization, and time-management skills.
  • Ability to handle confidential information with discretion and professionalism.
  • Experience working directly with General Counsel or senior leadership.
  • Notary Public certification (or ability to obtain).
  • High level of accuracy and follow-through
  • Ability to manage multiple priorities and deadlines
  • Sound judgment and professionalism, including maintaining confidentiality

  • Experience supporting healthcare, nonprofit, and/or multi-entity organizations preferred.
  • Familiarity with regulatory compliance environments (e.g., healthcare, privacy, labor/employment) preferred.

Responsibilities

  • Assist counsel with maintenance of corporate records, including articles of incorporation, bylaws, operating agreements, and amendments for corporate entities.
  • Draft corporate resolutions for review by counsel.
  • Prepare and file annual reports, registrations, and other required corporate filings once approved by counsel.
  • Maintain entity management systems and calendars to ensure compliance with filing deadlines.
  • Assist with the preparation, review, and organization of contracts, including vendor agreements, NDAs, consulting agreements, and leases.
  • Track contract approvals, renewals, expirations, and amendments.
  • Maintain a centralized contract repository and support contract lifecycle management processes.
  • Coordinate signatures and execution of legal documents.
  • Coordinate review and execution of new or revised policies and procedures.
  • Support compliance efforts related to corporate, employment, HIPAA, privacy, PCQI, and regulatory requirements (as applicable).
  • Assist with internal audits, compliance reporting, and responses to regulatory inquiries.
  • Assist with responses to court orders, subpoenas, and other authorized releases of client records or other data.
  • Monitor changes in laws and regulations and flag potential impacts to leadership or legal counsel.
  • Support risk management initiatives as directed by counsel and/or executive leadership, including but not limited to insurance documentation and claims tracking.
  • Assist with litigation holds, discovery responses, and document production.
  • Coordinate with outside counsel on litigation and pre-litigation matters, filings, and document requests.
  • Maintain matter files, deadlines, and case status updates.
  • Conduct legal research as requested by counsel.
  • Draft correspondence, memoranda, and legal filings and other documents for review by counsel.
  • Manage legal department calendars, workflows, and administrative processes.
  • Assist with licensure matters.
  • Support cross-functional collaboration with HR, Finance, Compliance, and Operations.
  • Assist with mergers and acquisitions due diligence.
