About The Position

We are seeking an experienced transactional attorney to join the Firm’s growing practice. This is a client-facing corporate role within a focused tax-exempt organizations practice. Matters are sophisticated, high-volume, and operationally real, involving governance, contracts, and organizational decision-making for nonprofits. The attorney in this position will work across the full breadth of the firm’s corporate and nonprofit matters. The position involves a broad range of corporate and nonprofit legal work, including: Drafting, negotiating, and reviewing contracts, from routine operational agreements to complex and specialized transactions; Advising on nonprofit governance, board matters, and organizational policies; Handling all aspects of corporate formation and restructuring; Conducting legal research on New York Non-Profit Corporation Law, employment law, and legislative developments affecting nonprofit organizations. The firm has an existing and ongoing book of business that has grown faster than the firm’s staffing. This job is for an experienced nonprofit corporate lawyer, who is ready to step into work for the firm’s clients. In this role, the hired candidate will develop a nuanced understanding the firm’s clients and their issues and history, with the goal of becoming client-facing and managing client projects independently. Candidates are not expected to bring their own book or business. However, the hired candidate will be given opportunities to learn and apply business development skills and strategies. This position is for a straight shooter, looking to do high-quality work without the politics of a larger firm or company, and interested in a clear long-term path to career development.

Requirements

  • J.D. with strong academic credentials and admission to practice in New York
  • 5+ years of direct nonprofit corporate transactional experience, ideally within a tax-exempt organization or advising tax-exempt organization clients regularly at a law firm
  • Experience handling nonprofit governance, contracts, and corporate matters as a core part of their practice (i.e., not just occasional nonprofit or pro bono matters)
  • Ability to step into client matters with minimal ramp-up and limited training
  • A genuine commitment to mission-driven work and building a long-term role with the Firm
  • Candidates should be seeking a long-term, committed role within a boutique firm environment
  • Exercise good judgment—and know when to ask questions
  • Write clearly and thoughtfully, translating complex legal issues into practical guidance
  • See the big picture without missing the details
  • Excellent attention to detail
