About The Position

The Corporate Attorney will be responsible for providing practical, timely, strategic, and high-quality legal advice and counsel on customer contracts, vendor contracts, non-disclosure agreements, leases, and other commercial contracts across the Company. The attorney will also assist with general corporate housekeeping and know-your-customer (KYC) matters for the Company’s entities around the world. Role requires collaboration and coordination with key business partners and stakeholders within the Company’s various business operations. This position requires a high degree of skill in interpersonal relations, organization, communications, initiative, organization, anticipation, intuitiveness, and flexibility.

Requirements

  • JD degree; licensed to practice law and in good standing in the state of licensure
  • Minimum of five to eight years' experience in law firm and/or in-house with focus on commercial contracts and general corporate matters
  • In-depth knowledge of contract law and commercial issues
  • Excellent verbal and written communication skills, attention to detail and solid analytical skills
  • Ability to timely and efficiently manage a large volume of projects and transactions
  • Strong negotiation and organization skills
  • Team player able to build relationships with colleagues and business partners across the company
  • Critical-thinking skills including the ability to solve problems creatively and apply practical solutions
  • High energy level self-starter and ability to marshal resources to accomplish projects and change initiatives
  • Exceptional customer focus and ability to build effective working relationships at all organizational levels
  • Ability to adapt to changing environment and support of multiple clients
  • High degree of professionalism, discretion and integrity

Responsibilities

  • Reviewing, drafting, and negotiating a broad range of contracts such as customer contracts, vendor contracts, non-disclosure agreements, warehousing agreements, leases, consignments, and consulting agreements
  • Communicating and coordinating with customers, vendors, outside counsel, paralegals and other internal business partners to determine requirements, make assessments, negotiate terms, and take other actions in connection with contract reviews and related projects
  • Providing advice to internal business partners regarding business issues such as deal terms, risk assessments, vendor comments, strategy, and company policy
  • Managing multiple simultaneous projects involving contracts with varying levels of complexity
  • Assisting the Contract Lifecycle Management (CLM) Specialist with designing and implementing a CLM system for existing and new contracts, amendments, renewals, and terminations
  • Leading the development and revision of contract templates, policies, and procedures, including coordinating non-US legal terms and conditions
  • Providing corporate information in response to Know-Your-Customer (KYC) and ultimate beneficial ownership requests and assisting with maintaining corporate organizational information on a global basis
  • Other duties as assigned
