About The Position

The Manager, Corporate Governance provides strategic leadership and operational oversight of governance frameworks, policies, and processes, ensuring compliance with legal and regulatory requirements while enabling the Board of Directors and Committees to operate effectively. This role drives governance excellence through policy development, process improvement, stakeholder engagement, and Board support, aligning governance practices with organizational strategy and industry best practices. This role is open to hybrid/remote working arrangements within British Columbia.

Requirements

  • Bachelor’s degree in Public Administration, Law, Business, or a related field (Masters preferred).
  • 7+ years of proven experience in corporate governance, board operations, or regulatory compliance.
  • Demonstrated experience supporting Boards of Directors and Committees, including meeting management and policy development.
  • Proven track record in developing governance frameworks and implementing process improvements.
  • Experience leading teams and managing cross-functional stakeholder relationships.
  • Strong knowledge of legislative and regulatory requirements impacting governance and corporate operations.
  • Excellent verbal, written and interpersonal communication skills.
  • Familiarity with governance software and tools.
  • Ability to manage multiple priorities, competing deadlines and work effectively in a fast-paced environment.

Responsibilities

  • Serve as the primary liaison to the Board of Directors and Committees for operations, meeting materials, and Director development.
  • Provide strategic and administrative support to enhance Board and Committee effectiveness.
  • Prepare and distribute meeting notices and packages, attend meetings, and accurately record minutes, ensuring compliance with best practices and regulatory requirements.
  • Ensure agendas include relevant content on strategy, risk, and decision-making.
  • Coordinate the Annual General Meeting in compliance with bylaws and regulations.
  • Maintain current, accessible governance documentation and communicate effectively across the organization.
  • Regularly assess governance practices and recommend improvements based on emerging trends and best practices.
  • Develop, review, and maintain governance policies, frameworks, and processes aligned with legal, regulatory, and strategic requirements.
  • Lead initiatives to improve governance efficiency, including meeting management, decision-making protocols, and documentation standards.
  • Implement tools and systems that enhance transparency, accountability, and Board effectiveness.
  • Benchmark governance practices against industry standards and recommend innovations.
  • Provide strategic direction and day-to-day leadership to the governance team, ensuring alignment with organizational goals.
  • Foster a collaborative, inclusive culture focused on continuous improvement and service excellence.
  • Identify skill gaps and support professional growth through coaching, training, and development initiatives.
  • Communicate department strategies and objectives clearly to ensure alignment with business priorities.
  • Build and lead a high-performing team that prioritizes effectively and collaborates across functions.
  • Execute business plans considering complex internal and external factors.
  • Monitor legislative and regulatory changes impacting governance and Board operations.
  • Assess implications of regulatory developments and update governance policies and procedures accordingly.
  • Partner with legal and compliance teams to ensure adherence to statutory and fiduciary obligations.
  • Ensure compliance with all governance-related regulatory requirements, including filings and reporting.
  • Maintain accurate governance records such as board resolutions, charters, and meeting documentation.
  • Design and deliver onboarding programs for new Directors, ensuring clarity on roles, responsibilities, and fiduciary duties.
  • Coordinate continuing education sessions and resources to support Directors in fulfilling governance responsibilities.
  • Serve as a trusted advisor to Directors on governance matters.
  • Organize and manage board evaluations and self-assessments.
  • Facilitate effective communication between the Board, executive leadership, and other stakeholders.
  • Organize and manage corporate meetings, ensuring compliance with legal requirements and effective stakeholder engagement.
  • Coordinate and distribute communications and reports to the Board and members.
  • Collaborate with senior leadership and department teams to ensure alignment with strategic objectives.
  • Maintain strong collaborative relationships across the organization.
