About The Position
Axiom is seeking Corporate Governance Attorneys to work with publicly-traded/Fortune 500 clients across multiple industries. This role involves advising on corporate governance, securities, and public company compliance, supporting Board activities, drafting SEC filings, and advising on governance policies and corporate transactions.
Requirements
- 6+ years of legal experience focused on corporate governance, securities, and/or public company matters
- Experience advising on SEC reporting, securities regulations, Board governance, and corporate policies, preferably with public companies
- Prior in-house experience preferred, with experience partnering with senior executives, Boards, and cross-functional stakeholders
- Active attorney license in good standing with a U.S. state bar
Responsibilities
- Advise on corporate governance, securities, and public company compliance matters, including SEC and stock exchange requirements.
- Support Board of Directors and committee activities, including preparing agendas, resolutions, minutes, and governance materials.
- Draft and review SEC filings and corporate disclosures, including proxy statements, Forms 10-K/10-Q/8-K, and Section 16 filings.
- Advise on governance policies, entity management, shareholder matters, and corporate transactions in partnership with legal and business teams.
