About The Position

Contributes to the overall success of the Legal Department in Canada ensuring specific individual goals, plans, initiatives are executed / delivered in support of the team’s business strategies and objectives. The incumbent is responsible for the provision and co-ordination of legal services to Scotia Global Asset Management (SGAM). Ensures all activities conducted are in compliance with governing regulations, internal policies and procedures.

Requirements

  • Graduate of a recognized law school with 2-5 years of practical private practice or in-house experience
  • Membership in the Law Society of one of the provinces of Canada.
  • Under general supervision of a Senior Legal Counsel or an Assistant General Counsel, the incumbent will research and analyze complex legal issues with the aid of established precedents, principles and procedures.
  • The position requires a high level of attention to detail, diligence, analytical, human relations and communications skills.
  • Established problem solving skills.

Responsibilities

  • Provides legal counsel to SGAM and its functional support groups on a broad range of complex matters including but not limited to: advising on all aspects of the life-cycle of publicly and privately offered investment funds (including development, structuring, and offering documents), providing legal analysis and advice on the execution of SGAM’s increasingly globally oriented target operating model involving Canada and numerous other geographic jurisdictions, drafting and negotiating specialized investment fund documents such as investment management and sub-advisory agreements, researching securities law regulatory developments and advising on implications to inform SGAM’s practices and documentation, identifying legal and regulatory risks, advising on policies and procedures, drafting and negotiating commercial agreements and documentation, creating and maintaining systems and precedents within the Legal Department, investigating and resolving ad hoc legal issues, developing and maintaining strong working relationships with internal business units.
  • The above activities will be provided directly to the business and through supporting the work of the senior lawyers on the team.
  • Champions a customer focused culture to deepen client relationships and leverage broader Bank relationships, systems and knowledge.
  • Assists in overseeing, directing and reviewing legal work being performed by outside counsel.
  • Understand how the Bank’s risk appetite and risk culture should be considered in day-to-day activities and decisions.
  • Actively pursues effective and efficient operations of his/her respective areas in accordance with Scotiabank’s Values, its Code of Conduct and the Global Sales Principles, while ensuring the adequacy, adherence to and effectiveness of day-to-day business controls to meet obligations with respect to operational, compliance, AML/ATF/sanctions and conduct risk.
