About The Position

OpenText is seeking a commercial Legal Counsel to join their in-house legal team. This role will focus on commercial transactions for an established but growing line of business. The responsibilities include negotiating and drafting a wide variety of commercial technology agreements for North American sales activity, such as cloud services agreements, software licenses, and professional services. The position also involves acting as a trusted legal advisor, supporting a dynamic line of business, collaborating with cross-functional groups, researching novel product offerings, and handling escalations. Key tasks include analyzing and providing guidance on company transactions and new go-to-market products, evaluating risk, updating templates, creating efficiencies, developing and delivering training, and managing projects beneficial to the Legal team. A significant aspect of the role involves utilizing AI and supporting a business that heavily utilizes AI.

Requirements

• Strong experience working in a legal department or a law firm handling commercial matters.
• 4+ years previous experience conducting contract negotiations, preferably concerning technology.
• Enthusiastic, hard-working, enjoy working in a team environment and confident working at a senior level with lawyers and other professional colleagues.
• Solid “hands on” experience drafting, negotiating and providing guidance on a wide variety of agreements; particularly in software licensing, hosted/ cloud based product agreements, professional services contracts, and maintenance and support agreements.
• Knowledge of working within the IT sector and assisting sales executives on commercial and sales transactions.
• Background in contract support for a variety of business functions including sales, marketing, engineering and other internal clients.
• Ability to advise management on risks across the business and strategies for mitigation.
• Good judgment, integrity, and attention to detail, think creatively, act professionally.

• Extra credit for software & SaaS experience.
• Interest in learning new technologies and business models; vision to create new templates and streamline processes; and willing to make recommendations and participate in the decision-making process.
• Experience doing business with regulated industries.
• Understanding or interest in data privacy/ data security.
• Work with GenAI systems, contracting, and regulation strongly preferred.
