About The Position

The Legal Department is seeking to add a Commercial Lawyer to its current team of four. Pason’s Legal team manages all legal matters for Pason and its Canadian and international subsidiaries, from commercial contracts, mergers and acquisitions, and joint ventures, to regulatory compliance, employment law, litigation, intellectual property protection and policy development. The legal team provides legal support to all business units throughout the organization, as well as Pason’s Board of Directors and Senior Leadership Team. We are business minded, collaborative, and accurately deliver the legal support internal stakeholders need do their jobs effectively with minimal risk to the organization. This position will report to the Vice President, Legal & Corporate Secretary.

Requirements

  • Exceptional interpersonal and negotiation skills
  • Strong customer focus and business acumen
  • Ability to distill complex legal issues and provide clear legal advice to internal stakeholders
  • A dedicated team player, with excellent attention to detail and accuracy
  • 2+ years' solid commercial law experience in a top-tier law firm or in-house department
  • LLB or JD from an accredited university
  • Member in good standing of the Law Society of Alberta

Nice To Haves

  • Experience with technology and IP licensing is an asset
  • Experience in the upstream oil and gas industry is an asset

Responsibilities

  • Review, draft, and negotiate clear and concise commercial contracts and other legal documents, including customer and supplier agreements, non-disclosure agreements, real estate leases, joint venture agreements, and licensing, development, and distribution agreements with an IP focus
  • Support and collaborate with business units on all legal aspects of Pason’s business
  • Provide timely, practical, and responsive legal advice to management and aid in commercial dispute resolution
  • Assist with corporate transactions as needed
  • Liaise with external counsel in corporate and commercial transactions where appropriate
  • Help maintain and develop processes, templates, and checklists
  • Assist with policy review and development
  • Assume responsibility for special projects and other initiatives, as requested
  • Conduct legal research, identify new legislation and proactively propose recommendations
