About The Position

This is a newly created role supporting one of the busiest legal functions in the organization. As Law Clerk, you'll sit close to the deal table — supporting high-volume M&A activity, commercial work, corporate maintenance, and privacy & compliance across our national platform. You'll work closely with the Senior Corporate Legal Counsel (M&A) and the Director, Legal (Operations), helping execute deals, keep corporate records airtight, and strengthen the workflows and documentation practices the broader Legal Team relies on. Requirements

  • 4+ years' experience as a Law Clerk, preferably gained at a top law firm or in-house legal department with exposure to M&A and corporate law
  • Demonstrated experience or exposure to mergers and acquisitions and corporate governance/support
  • Highly motivated and capable of working in a fast-paced, transaction-heavy environment with competing deadlines and priorities
  • Strong organizational, project management, and process improvement instincts
  • Work independently with sound judgment, attention to detail, and strong analytical skills
  • Comfortable working across legal, corporate development, finance, and operational teams in a highly collaborative environment

Nice To Haves

  • Completion of a Canadian Law Clerk program is strongly preferred
  • French language proficiency is a bonus but not a requirement

Responsibilities

  • Prepare and coordinate closing deliverables for share and asset acquisitions (authorizing resolutions, closing certificates, ancillary agreements, filing documents, etc.)
  • Support due diligence, including corporate and PPSA searches, tracking diligence materials and follow-ups, and preparing and pursuing no-interest letters and discharge undertakings
  • Assist with post-closing integration, including corporate filings, document organization, and issue tracking
  • Support transaction document execution and closing logistics (e-signatures, signature pages, closing agendas, and checklists)
  • Support corporate governance and maintenance across multiple entities, including share subscriptions and issuances, director and officer changes, corporate resolutions, and minute book maintenance
  • Coordinate with external corporate service providers and government registries for filings and annual returns
  • Manage business registration renewals, permits, and licence tracking
  • Assist the Privacy and Compliance function with regulatory college filings and permit renewals for dental clinics across multiple provinces
  • Research provincial regulatory requirements and liaise with regulatory bodies where required
  • Assist the Operations function with preparing and revising template agreements and internal legal documents
  • Support leasing matters, including lease renewals, extensions, assignments and amendments, and coordination with landlords and external counsel
  • Maintain internal legal databases and trackers (entity lists, practice lists, partner and service records, deal trackers)
  • Support cross-functional projects and process improvements with Legal and Corporate Development leadership
