About The Position

Infrastructure Ontario (IO) is seeking a Real Estate Law Clerk for a fixed-term 12-month position. The role involves supporting IO's Legal Services team in a wide range of commercial real estate transactions, including acquisitions, dispositions, and leasing. The successful candidate will play a key role in facilitating these transactions, ensuring their advancement and closing, and providing ongoing legal support for IO's real estate matters. IO is recognized for its work in major projects, real estate services, infrastructure lending, and development, aiming to modernize and maximize the value of public infrastructure and realty in Ontario.

Requirements

  • A Law Clerk diploma/certificate/designation from a recognized college or other institution.
  • Knowledge of real estate terminology and practices, title search methods and procedures, Land Registry Office operations and systems, including all aspects of electronic registration and conveyancing procedures.
  • Several years of experience in commercial real estate, gained with an in-house legal group or law firm.
  • Comprehensive understanding of relevant legislation and regulations (e.g., Land Titles Act, Land Registration Reform Act, Registry Act, Business Corporations Act).
  • Knowledge of Teraview with respect to title and conveyancing matters.
  • Strong organizational skills to determine work priorities and manage multiple projects in a fast-paced environment.
  • Excellent written communication skills and meticulous attention to detail to proofread and edit legal documents.
  • Proficiency in Microsoft Office applications (Word, Excel, Outlook, PowerPoint) and experience with document management systems.
  • Willingness to learn and adapt quickly to new policies, procedures, and systems.
  • A high level of discretion and integrity when handling confidential and sensitive information.
  • Ability to work independently and as part of a team, demonstrating initiative and sound judgment.

Nice To Haves

  • Knowledge of government structure, processes, and operations is considered an asset.
  • Knowledge of forfeited corporate properties and the Forfeited Corporate Properties Act is considered an asset.

Responsibilities

  • Provide transactional support to the Legal Services team.
  • Assist with and assume carriage of a commercial real estate transaction following the execution and delivery of the Agreement of Purchase and Sale to transaction close.
  • With minimal supervision, independently manage all aspects of closing commercial real estate transactions, including preparing closing documentation, updating ownership information, preparing statements of adjustments, and preparing and registering electronic documents.
  • Prepare and revise legal documents as required and directed by internal legal counsel.
  • Liaise with internal legal counsel, external legal counsel, client teams, and other internal and external stakeholders to provide necessary support and information at all stages of transaction.
  • Maintain tracking systems for action items and deadlines, including the use of Microsoft Outlook for tasks and reminders and to communicate with the supervising lawyer as appropriate to meet deadlines.
  • Conduct due diligence searches related to real estate transactions, including real property title searches, execution searches, corporate searches, bankruptcy searches, and other required searches in support of sales and acquisitions, loans, and other real estate transactions.
  • Review, edit, and organize all real estate documentation required for approval submissions relating to Orders-in-Council, Minister’s Orders, and Minister’s Consents.
  • Maintain comprehensive electronic and hard copy files of transactional documents for sales and acquisitions and manage organization of files for easy access by Legal Services team members.
  • Organize and manage all aspects of on-boarding and off-boarding of properties either acquired or disposed of from the general real estate portfolio, to ensure that portfolio records are accurate and up-to-date province-wide.
  • Ensure notification of portfolio changes are communicated to all head office and regional Infrastructure Ontario staff who require this information for their business lines.
  • Provide mentoring and training to junior lawyers, law clerks, and administrative assistants, as may be required to ensure accuracy and consistency of standards.
  • Provide administrative assistance to a team of lawyers and assume other duties as assigned.
