About The Position

Frankfurt Kurnit is seeking a junior corporate associate for its Corporate Group. The group serves a diverse clientele including investors, startups, growth-stage companies, and industry leaders, with a focus on the entertainment, advertising, technology, media, and hospitality sectors. The ideal candidate will have a broad corporate background, with a preference for experience in emerging-growth companies, media, entertainment, and advertising ventures. Experience with corporate governance, venture capital financings, joint ventures, corporate structuring, mergers and acquisitions, and strategic transactions is highly valued. The role requires the ability to work independently, manage multiple matters simultaneously, and possess strong client relations skills. Attorneys must be admitted to practice in New York.

Requirements

  • Experience conducting and organizing due diligence reviews and coordinating requests among clients, counterparties and deal teams.
  • Experience preparing, reviewing and maintaining disclosure schedules, transaction checklists and closing documentation.
  • Strong project management and organizational skills, including the ability to manage multiple matters, workstreams, and deadlines in a fast-paced transactional practice.
  • Strong drafting, analytical, legal research, writing, and communication skills.
  • Excellent attention to detail, sound judgment, problem-solving ability, and a practical, client-service-oriented approach.
  • Ability to work both independently and collaboratively with partners, senior attorneys, clients, and deal team members.
  • Membership in the New York Bar is required.

  • Experience working with emerging-growth companies, media, entertainment and advertising-oriented ventures (including agencies, production companies, content creators and talent), in connection with corporate governance, venture capital financings, the formation of joint ventures, corporate structuring, mergers and acquisitions and other strategic transactions, including managing due diligence processes, disclosure schedules and closing deliverables.

Responsibilities

  • Support all phases of mergers and acquisitions transactions, including diligence, drafting, negotiation, signing and closing activities
  • Perform complex legal research, manage due diligence requests and review diligence materials in connection with mergers and acquisitions, financings and other corporate transactions.
  • Evaluate current and new projects, partnerships, mergers, divestitures, and acquisitions for potential legal issues.
  • Under the guidance of the supervising partners, advise clients on corporate governance, policies, procedures, finances, intellectual property, employment, operations, and regulatory issues, and guide them towards best practices in corporate law regulation compliance.
  • Collaborate with partners and clients on matters to gain hands-on experience.
