About The Position

A premier global law firm is seeking an Investment Funds Associate Attorney to join its Houston office. This opportunity is ideal for an attorney interested in representing private equity funds, credit funds, infrastructure funds, energy funds, venture capital funds, institutional investors, and fund sponsors in sophisticated investment fund formations and transactions.

Requirements

  • 3–6 years of investment funds, private equity, or corporate transactional experience gained at a sophisticated law firm
  • Experience representing private equity sponsors, fund sponsors, institutional investors, investment advisers, and asset managers
  • J.D. from an ABA-accredited law school required
  • Texas bar admission required or ability to become admitted
  • Strong drafting, negotiation, analytical, organizational, and communication skills
  • Excellent academic credentials

Nice To Haves

  • Experience supporting secondary transactions, GP-led transactions, fund restructurings, or strategic investments is a plus

Responsibilities

  • Representing private equity funds, credit funds, infrastructure funds, energy funds, venture capital funds, institutional investors, and fund sponsors in sophisticated investment fund formations and transactions.
  • Handling private investment fund formations, including private equity, credit, infrastructure, energy, real estate, and venture capital funds.
  • Drafting and negotiating limited partnership agreements, limited liability company agreements, subscription agreements, side letters, investment management agreements, and other fund-related documentation.
  • Advising clients regarding fund governance, sponsor structuring, carried interest arrangements, co-investments, and regulatory considerations.
  • Supporting secondary transactions, GP-led transactions, fund restructurings, or strategic investments.
  • Independently managing sophisticated matters while maintaining significant client interaction.
