About The Position

A nationally recognized Am Law firm is seeking a mid-level Investment Funds Associate Attorney for its Chicago office. The role focuses on sophisticated investment fund formation, private equity, and investment management matters. The associate will work with fund sponsors, investment managers, and institutional investors, handling complex transactions and receiving meaningful transactional responsibility and client interaction. The position offers collaboration with experienced investment funds attorneys and opportunities for professional development and long-term career advancement.

Requirements

Mid-level associate experience in investment funds, private equity fund formation, or investment management.
Experience structuring, forming, and advising private investment funds and their sponsors.
Experience drafting and negotiating limited partnership agreements, private placement memoranda, subscription agreements, and related fund documentation.
Familiarity with private equity funds, venture capital funds, hedge funds, or other alternative investment vehicles.
Experience advising fund sponsors, investment managers, or institutional investors.
Strong transactional drafting, negotiation, analytical, and communication skills.
Ability to manage sophisticated matters and collaborate with clients and deal teams.

Responsibilities

Form and structure private equity and alternative investment funds.
Advise on fund organization and ongoing operations.
Provide investment management and sponsor-side counseling.
Negotiate with limited partners and prepare investor documentation.
Advise on fundraising and capital commitments.
Work on co-investment arrangements and secondary transactions.
Advise fund sponsors on complex transactional and regulatory considerations.
Draft and negotiate limited partnership agreements, private placement memoranda, subscription agreements, and related fund documentation.
