Requirements

  • Active bar admission in New York required; additional state admissions or willingness to obtain them a plus
  • Demonstrated experience operating as the sole or senior-most legal decision-maker at a company, with full accountability for material legal judgment calls
  • Deep, hands-on IP background required — patents, trademarks, trade secrets, and licensing agreements — this is a required qualification, not a preference
  • Deep, hands-on understanding of Corporate Practice of Medicine (CPOM) structures required, including how contracts with the states must be built state by state — this is a required qualification, not a preference
  • Working knowledge of healthcare business licensing required, including business registration with the Secretary of State, Department of Revenue registration, healthcare licenses to operate, and city/state licensing
  • Experience with entity credentialing under Professional Corporation (PC) structures required
  • Strong generalist range across IP and licensing, contracting, regulatory compliance, and corporate governance; knows when and how to engage outside counsel for specialized needs
  • Sound, practical business judgment — able to balance legal risk against speed and OnMed’s growth priorities
  • Experience managing outside counsel relationships and driving workstreams independently, without close legal oversight
  • Comfortable managing and developing junior or mid-level legal talent
  • Strong executive presence; able to advise and present to the CEO, and SLT directly
  • Excellent contract drafting and negotiation skills, including licensing and IP agreements
  • Juris Doctor (J.D.) from an accredited law school, required
  • Active license to practice law in New York, required
  • 10+ years of legal practice, including significant in-house experience, required
  • Prior experience as Associate General Counsel, Head of Legal, or equivalent senior in-house legal leader, required
  • Digital health-tech industry experience, required
  • Demonstrated experience with IP prosecution, licensing agreements, and regulatory compliance in a regulated industry, required

Nice To Haves

  • Experience advising on M&A, financing, or investor due diligence preferred
  • Experience building or scaling a legal function at a startup or high-growth company preferred
  • Comfortable reporting into a non-attorney executive while maintaining full professional independence on legal judgment

Responsibilities

  • Serve as OnMed’s senior-most legal authority, providing final sign-off on all material contracts, agreements, and negotiations
  • Own IP strategy and execution — patents, trademarks, trade secrets, and licensing agreements — including the IP execution calendar and prosecution strategy
  • Structure and negotiate licensing agreements and technology partnerships that protect OnMed’s CareStation technology and brand
  • Set regulatory compliance strategy and direction, including government partnerships and Corporate Practice of Medicine (CPOM) compliance and how OnMed’s contracts with the states must be structured, state by state
  • Draft, review, and negotiate OnMed's highest-stakes and most complex contracts, while overseeing and quality-checking the Associate Counsel's contract work on routine agreements
  • Maintain and evolve contract templates, the contracting playbook, and the Legal function’s contract repository and management tools, including managing the vendor relationships behind them
  • Own risk tolerance guidance and escalation calls across the business
  • Coordinate Legal strategy with the Head of Compliance to keep Legal and Compliance aligned on regulatory guidance, HIPAA/privacy obligations, and audit readiness
  • Own corporate and state-by-state governance, including Secretary of State filings, PC governance structure, and Board resolution support
  • Partner closely with OnMed’s outside counsel and serve as the company’s legal voice
  • Manage and develop the Associate Counsel, providing oversight on contracting, entity governance, and other work
  • Advise executive leadership on the legal, IP, and regulatory implications of new products, partnerships, and markets as OnMed scales
  • Lead litigation and investigation strategy, including initial response and management of external litigation counsel
  • Deliver Board and Risk Committee reporting on material legal and regulatory risk positions
  • Perform other related role’s responsibilities as assigned
