About The Position

ConcertAI is building the future of precision medicine using advanced artificial intelligence and real-world data to transform healthcare and life sciences. Our teams partner with leading pharmaceutical companies, providers, and research organizations to solve complex healthcare challenges. The Head of Legal, TeraRecon is the senior legal officer for TeraRecon, a ConcertAI subsidiary, and serves as a trusted advisor to the SVP General Manager of TeraRecon and TR’s executive leadership team on legal, contracting, employment, corporate governance, and data privacy matters. This role is responsible for TeraRecon’s commercial contracting, transactional, employment, litigation, and IP matters, advises on product strategy, leads the TeraRecon Legal team, and serves as Data Protection Officer. The role partners with the Regulatory team on healthcare regulatory compliance and reports to the SVP General Manager, TeraRecon, with a dotted-line reporting relationship to ConcertAI’s General Counsel.

Requirements

  • Juris doctor (J.D.) law degree and admission to a US State Bar
  • At least 8 years’ extensive experience practicing corporate law in an in-house or law firm role, handling a variety of relevant commercial matters (including contract negotiation, intellectual property, litigation oversight, and corporate governance), with demonstrated experience managing or supervising legal staff and advising senior business leadership
  • Experience serving as, or supporting, a Data Protection Officer or leading data privacy compliance programs (e.g., GDPR, CCPA) strongly preferred
  • Experience in the healthcare or software/SaaS industry, including familiarity with HIPAA and other applicable healthcare regulations, preferred
  • 6+ years of experience leading, coaching, and developing high-performing teams in a fast-paced, results-driven environment.
  • Experience establishing KPIs and operational metrics to improve team performance and business outcomes.
  • Experience leading complex initiatives, driving organizational change, and managing competing priorities in a fast-paced environment.
  • Ability to adapt leadership style to meet the needs of diverse teams, business priorities, and changing organizational dynamics.
  • Experience leading through organizational change while maintaining employee engagement and productivity.

Responsibilities

  • Serving as lead legal negotiator for purchase order terms, sales contracts, and strategic partnership agreements, exercising independent legal judgment on standard terms and escalating highly non-standard terms to the SVP General Manager, TeraRecon or ConcertAI General Counsel for sign-off
  • Owning the legal framework for the sales order process, including order processing and review functions, maintenance and revision of contract forms and playbooks, and training and enablement of the sales team on legal and compliance matters
  • Leading negotiation and closing of business deals and other transactions, engaging and directing internal management, engineering, customer support, finance, and other resources as required
  • Directing legal input for Request for Proposal (RFP) and Request for Information (RFI) responses
  • Partnering with cross-functional leadership on sales, product roll-out activities, and customer relations matters, including review of relevant associated legal provisions and procedures
  • Overseeing the full range of TeraRecon’s written contracts and agreements, whether operational, administrative, employment, strategic, or third-party
  • Managing and developing the TeraRecon Legal team (currently one paralegal direct report), including hiring, performance management, and professional development, with input into team structure as business needs evolve
  • Partnering with HR on employment matters, consulting agreements, employee relations issues, access agreements, and other matters affecting the work environment or working relationships of employees with customers
  • Managing outside counsel relationships and the TeraRecon legal budget, and making recommendations to the SVP General Manager, Tera Recon on legal staffing and resourcing needs
  • Advising cross-functional teams throughout the full product lifecycle, from development through commercialization, on legal, operational, compliance, and contracting matters
  • Negotiating and overseeing advisory agreements, research agreements, data licensing agreements, reseller agreements, and strategic partnership agreements
  • Overseeing litigation and collections matters, and managing real estate leases
  • Overseeing corporate governance matters, both domestic and international
  • Overseeing outside intellectual property counsel on patent and trademark matters
  • Directing analysis and negotiation of remote access and data security agreements, NDAs, HIPAA matters, and Business Associate Agreements in support of sales, engineering, and customer service teams
  • Proactively identifying and addressing matters of legal relevance to the business, in coordination with the SVP General Manager, Tera Recon and executive leadership
  • Working proactively with functional leaders across TeraRecon to facilitate and advance the interests of the business, and identify areas of legal need
  • Serving as Data Protection Officer: analyzing risk, assuring adherence to regulatory and legal compliance, and leading strategy for data privacy risk management; advising and coordinating with the organization (including TeraRecon GmbH) to ensure compliance with applicable data privacy regulations, the Information Governance and Framework Policy, and other legal requirements
  • Partnering with the Regulatory team on healthcare regulatory compliance matters (e.g. AKS, and other applicable healthcare regulations) as a shared responsibility; medical device regulatory compliance (including ISO 13485 and MDSAP/CE Marking matters) is owned by the Regulatory team
  • Leading Legal’s participation in internal and external audits
